- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be performed by the appointed Curriculum Developer or their directly supervised team members.
- The Curriculum Developer shall maintain professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- All intellectual property created under this Purchase Order, including curriculum frameworks, resource materials, digital modules, and training content, shall become the sole property of Thames Valley Educational Trust upon full payment.
- Payment shall be made in accordance with the milestone schedule. Invoices shall be submitted within five (5) working days of milestone completion. Payment is due within thirty (30) calendar days of receipt of a valid invoice, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
- The Curriculum Developer shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. No student personal data shall be processed outside the United Kingdom.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall be compensated for all work completed and accepted up to the date of termination, pro-rated accordingly.
- All disputes arising from this Purchase Order shall be resolved through mediation in London, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, the matter shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- The Supplier warrants that the Curriculum Developer engaged under this Purchase Order holds a minimum of a Master's degree in Education, Curriculum Studies, or a related discipline, and possesses a minimum of ten (10) years of experience in curriculum design within the UK secondary education sector.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. The place of performance for all on-site activities shall be within the Greater London area, United Kingdom.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid modification of this document.
