This Purchase Order authorizes the procurement of professional services rendered by a qualified Curriculum Developer to design, develop, and deliver a comprehensive K-12 STEM curriculum framework for the Gulf Coast Educational Development Consortium. The Curriculum Developer shall operate out of the United States Houston metropolitan area and shall ensure all deliverables align with the Texas Education Agency (TEA) standards and the United States Houston Independent School District (HISD) academic calendar.   1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Curriculum Developer. The Curriculum Developer shall return a signed copy of this Purchase Order within five (5) business days of receipt to confirm acceptance of all terms.
  2. Performance Period: All services described herein shall be performed between July 1, 2025, and September 15, 2025. The Curriculum Developer shall maintain a primary work location within United States Houston, Texas, and shall be available for on-site meetings at the Consortium’s offices no fewer than two (2) times per week.
  3. Payment Schedule: Payment shall be issued in three (3) installments: 40% upon execution of this Purchase Order, 40% upon delivery of the completed curriculum framework, and 20% upon final acceptance and completion of the pilot phase. All invoices shall reference Purchase Order Number HDN-2025-04782.
  4. Intellectual Property: All curriculum materials, lesson plans, assessments, digital resources, and documentation created by the Curriculum Developer under this Purchase Order shall become the sole and exclusive property of the Gulf Coast Educational Development Consortium upon full payment. The Curriculum Developer retains the right to reference the engagement in professional portfolios with prior written consent.
  5. Compliance: The Curriculum Developer shall comply with all applicable federal, state, and local laws governing educational content in the State of Texas. All materials shall be reviewed for cultural relevance to the diverse student population of United States Houston and shall meet TEA accreditation standards.
  6. Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all student data, internal Consortium strategies, and proprietary information encountered during the performance of this Purchase Order. This obligation shall survive termination of the agreement for a period of three (3) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice. In the event of termination for convenience, the Consortium shall compensate the Curriculum Developer for all services rendered and documented expenses incurred up to the date of termination.
  8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in United States Houston, Texas, in accordance with the Texas Mediation Act. If mediation fails, disputes shall be adjudicated in the Harris County District Court, United States Houston, Texas.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas and applicable United States federal law.
  10. Insurance: The Curriculum Developer shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.

All physical and digital deliverables shall be submitted to the Consortium’s designated project manager at the United States Houston office located at 4520 Post Oak Boulevard, Suite 1200. Digital deliverables shall be uploaded to the Consortium’s secure project management portal. The Consortium shall have ten (10) business days from the date of delivery to inspect and accept or reject each deliverable. Rejection must be accompanied by a written description of deficiencies, and the Curriculum Developer shall have fifteen (15) business days to remedy such deficiencies at no additional cost.

By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Curriculum Developer services in United States Houston, Texas.
