6.1 This Purchase Order constitutes a binding agreement between South Florida Educational Innovation Institute, LLC, and Apex Learning Design & Development Group, Inc., both operating within United States Miami, Florida. All terms herein shall be governed by the laws of the State of Florida and the federal laws of the United States of America.
6.2 The Curriculum Developer shall maintain all intellectual property rights to pre-existing methodologies and frameworks. All newly developed curriculum materials, assessments, and digital content created specifically under this Purchase Order shall become the sole property of the purchasing entity upon full payment.
6.3 Payment shall be made in accordance with the milestone schedule outlined in Section 5. Invoices shall be submitted to the accounts payable department at the United States Miami office. Payment terms are Net 30 days from the date of invoice receipt. Late payments shall accrue interest at a rate of 1.5% per month.
6.4 The Curriculum Developer is required to conduct all on-site meetings, workshops, and training sessions at the purchasing entity's facility located at 2847 Brickell Avenue, United States Miami, FL 33133, unless otherwise agreed upon in writing by both parties.
6.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Curriculum Developer shall be compensated for all work completed and documented up to the date of termination, less any applicable deductions for incomplete deliverables.
6.6 The Curriculum Developer shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence throughout the duration of this engagement. Certificates of insurance shall be provided prior to the commencement of services.
6.7 All deliverables must adhere to the accessibility standards set forth in Section 508 of the Rehabilitation Act and the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. The Curriculum Developer shall ensure that all materials are culturally responsive and inclusive of the diverse student population served in United States Miami.
6.8 Disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.
7. Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Curriculum Developer services in United States Miami. This document is valid for a period of thirty (30) days from the date of issue.
