This Purchase Order authorizes the engagement of a qualified Curriculum Developer to design, develop, and deliver a comprehensive K-12 STEM curriculum framework for the Manhattan Educational Innovations Institute. The Curriculum Developer shall operate out of the United States New York City office and shall comply with all New York State Department of Education standards, Common Core alignment requirements, and local board of education guidelines applicable within United States New York City public and charter school districts.
The Curriculum Developer is expected to produce a full pedagogical architecture including learning objectives, assessment rubrics, differentiated instruction modules, teacher facilitation guides, and digital resource integrations. All deliverables must be culturally responsive and aligned with the diverse student populations served in United States New York City schools.

- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Seller. The Curriculum Developer shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Performance Location: All services under this Purchase Order shall be performed primarily at the Buyer's offices located in United States New York City. The Curriculum Developer may also conduct fieldwork at partner schools throughout the five boroughs of United States New York City as necessary.
- Intellectual Property: All curriculum materials, frameworks, assessments, and digital content created by the Curriculum Developer under this Purchase Order shall become the sole and exclusive property of the Buyer upon full payment. The Curriculum Developer retains no rights to reproduce, distribute, or license the deliverables without prior written consent.
- Compliance: The Curriculum Developer shall comply with all applicable federal, New York State, and United States New York City regulations, including but not limited to the New York State Education Law, Title VI of the Civil Rights Act, Section 504 of the Rehabilitation Act, and the Americans with Disabilities Act.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon delivery of the complete curriculum framework, and 30% upon final acceptance and completion of the 12-month support period. All payments shall be made via ACH transfer to the account designated by the Seller.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered by the Curriculum Developer up to the date of termination.
- Confidentiality: The Curriculum Developer agrees to maintain strict confidentiality regarding all student data, institutional strategies, and proprietary information encountered during the performance of services in United States New York City.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States New York City in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney's fees.
- Insurance: The Curriculum Developer shall maintain general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than $1,000,000 throughout the term of this Purchase Order.
- Non-Collusion: The Seller certifies that the pricing in this Purchase Order is not the result of any collusion, bid-rigging, or anti-competitive practice in violation of New York State or federal antitrust laws.
The Curriculum Developer shall deliver the following items to the Buyer's designated representative in United States New York City:
- Complete K-12 STEM Curriculum Framework (print and digital), aligned to New York State Learning Standards.
- Assessment and evaluation toolkit including formative and summative instruments.
- Six (6) completed teacher training workshop sessions with attendance records and feedback forms.
- Full LMS content upload and integration documentation.
- 12-month post-delivery support log and revision records.
The Buyer shall have fifteen (15) business days from the date of delivery to inspect and accept or reject each deliverable. Rejection must be communicated in writing with specific reasons for non-conformance. The Curriculum Developer shall have ten (10) business days to remedy any deficiencies.
By signing below, the parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Curriculum Developer in United States New York City.
