1. Scope of Work: This Purchase Order authorizes EduCaribe Solutions C.A. to provide the services of qualified Curriculum Developer professionals as itemized above. All Curriculum Developer work shall be conducted in accordance with the pedagogical standards established by the Venezuelan Ministry of Popular Power for Education and shall be specifically tailored for implementation in the Venezuela Caracas metropolitan educational district.
2. Payment Terms: Payment shall be made in three (3) installments: 40% upon contract execution and project kickoff in Venezuela Caracas; 40% upon delivery and acceptance of all Curriculum Developer deliverables (items 1 through 3); and 20% upon completion of training workshops and final quality assurance review. All payments shall be processed via bank transfer to the vendor account specified in the attached banking annex. Payment currency shall be United States Dollars (USD) as agreed upon in the master service agreement.
3. Delivery and Acceptance: All Curriculum Developer deliverables must be submitted to the INDE office located in Venezuela Caracas, Chacao, no later than the deadlines specified in the line items table. The Buyer shall have fifteen (15) business days from the date of submission to inspect, review, and formally accept or reject each deliverable. Rejection must be accompanied by a written justification specifying the required modifications.
4. Intellectual Property: Upon full payment, all Curriculum Developer materials, frameworks, modules, and digital assets created under this Purchase Order shall become the exclusive property of the Instituto Nacional de Desarrollo Educativo. The vendor shall not reproduce, distribute, or license these materials to any third party without prior written consent from the Buyer.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, student data, and internal educational strategies shared during the execution of this Purchase Order in Venezuela Caracas. This obligation shall survive the termination of this agreement for a period of five (5) years.
6. Compliance with Venezuelan Law: This Purchase Order is governed by the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order regarding Curriculum Developer services shall be resolved through the competent courts of Venezuela Caracas, or alternatively through arbitration in accordance with the Venezuelan Commercial Code.
7. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of cancellation by the Buyer, the vendor shall be compensated for all Curriculum Developer work completed and documented up to the date of termination, as verified by the project manager in Venezuela Caracas.
8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government decrees, or public health emergencies affecting the Venezuela Caracas region.
