4.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the designated Customs Officer for the provision of customs brokerage and clearance services within the jurisdiction of Belgium Brussels. The Customs Officer shall act in full compliance with the Belgian Code of Customs and Excise Duties (Code des douanes et accises) and all European Union regulations applicable to customs procedures.
4.2 The Customs Officer shall maintain all necessary professional licences, insurance coverage (minimum €5,000,000 professional liability), and registration with the FPS Finance in Belgium Brussels throughout the duration of this Purchase Order. Any lapse in licensing shall constitute immediate grounds for termination.
4.3 All customs declarations filed by the Customs Officer on behalf of the Purchasing Entity shall be submitted electronically via the Belgian Customs Information System (CIS) and the EU's Integrated Customs Environment (ICE) platform. The Customs Officer shall ensure that all declarations are accurate, complete, and submitted within the statutory timeframes prescribed by Belgian and EU law.
4.4 Payment shall be made via bank transfer to the Customs Officer's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Belgian Law of 2 August 2002 on late payment in commercial transactions.
4.5 The Customs Officer shall provide a written report to the Purchasing Entity on a monthly basis, detailing all declarations filed, duties paid, any customs queries or inspections encountered in Belgium Brussels, and recommendations for tariff optimisation.
4.6 This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, all pending customs procedures shall be completed by the Customs Officer before the effective date of termination.
4.7 All disputes arising from this Purchase Order shall be resolved by the competent courts of Belgium Brussels, and the parties agree to the exclusive jurisdiction of the Brussels Judicial Court.
NOTE: This Purchase Order is subject to the prior approval of the Purchasing Entity's Finance Department. The Customs Officer shall not commence services until a signed copy of this Purchase Order has been returned to the Purchasing Entity. All services rendered under this Purchase Order are exclusively for the use of Meridian Logistics & Trade Solutions NV and may not be sub-contracted without prior written consent. 5. Authorisation and SignaturesBy signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the procurement of Customs Officer services in Belgium Brussels.
