4.1. All goods and services procured under this Purchase Order shall be delivered, installed, and made fully operational at the Federal Customs Inspection Facility in Brasília, DF, Brazil, at the address specified in Section 1. The supplier shall bear all costs of transportation, insurance, and installation within the Federal District.
4.2. The Customs Officer designated to receive and operate the procured equipment shall be present at the time of delivery and installation. A formal acceptance report, signed by the Customs Officer and the Regional Director, must be completed within five (5) business days of delivery. Failure to sign the acceptance report within this period shall constitute deemed acceptance.
4.3. The supplier warrants that all equipment conforms to the technical specifications outlined in the attached Annex A (not reproduced herein) and complies with all applicable Brazilian regulatory standards, including those set by the ANATEL, INMETRO, and the Receita Federal do Brasil for customs inspection equipment.
4.4. Payment shall be made via electronic bank transfer (TED) to the supplier's account in Brazil, Brasília, within forty-five (45) calendar days following the date of the signed acceptance report. Late payments shall accrue interest at the rate of 1% per month, as stipulated by Brazilian commercial law.
4.5. The supplier shall provide a minimum of two (2) years of warranty on all hardware items and one (1) year of warranty on software licenses, commencing from the date of acceptance. Any defects discovered during the warranty period shall be repaired or replaced at no additional cost to the Federal Customs Administration.
4.6. This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Brasília, DF, Brazil. The parties agree to attempt mediation before initiating any judicial proceedings.
4.7. The supplier acknowledges that the equipment procured under this Purchase Order will be used exclusively for the performance of official duties by a Customs Officer of the Brazilian Federal Government in the execution of customs inspection, classification, and clearance operations in Brasília. Any unauthorized use, transfer, or disclosure of the equipment or associated data is strictly prohibited.
4.8. The supplier shall maintain full confidentiality regarding all customs data, shipment information, and operational procedures encountered during the installation and training phases in Brasília. A Non-Disclosure Agreement (NDA) has been executed separately under reference NDA-2025-BR-DF-0221.
This Purchase Order is valid only when signed by both parties. Electronic signatures in accordance with Brazilian Law 14.063/2020 are accepted.
