This Purchase Order authorizes the procurement of professional services rendered by a qualified Customs Officer to be stationed and performing duties within the jurisdiction of Brazil São Paulo. The Customs Officer shall be responsible for the inspection, classification, valuation, and clearance of goods entering and departing through the Port of Santos, the São Paulo International Airport (GRU), and all designated customs checkpoints in the metropolitan region of São Paulo. The Customs Officer(s) engaged under this Purchase Order shall perform the following duties within the operational boundaries of Brazil São Paulo:
- Conduct physical and documentary inspections of all import, export, and transshipment cargo passing through São Paulo customs facilities, including the Port of Santos and Guarulhos International Airport.
- Classify goods according to the Nomenclatura Comum do Mercosul (NCM) tariff schedule and determine applicable duties, taxes, and fees in accordance with Brazilian federal and state regulations.
- Verify certificates of origin, commercial invoices, packing lists, and transport documents to ensure full compliance with the Brazilian Customs Regulations and Mercosur trade protocols.
- Operate and maintain customs inspection technology, including X-ray scanners, radiation detectors, and the SISCOMEX electronic platform used across Brazil São Paulo operations.
- Prepare and submit daily, weekly, and monthly activity reports to the São Paulo Regional Customs Directorate, documenting all inspections, seizures, and clearance actions.
- Coordinate with the Federal Police, the Brazilian Army, and the São Paulo State Revenue Office on matters of contraband, smuggling, and trade fraud detected within the São Paulo metropolitan customs zone.
- Provide expert advisory support to importers, exporters, and freight forwarders operating in Brazil São Paulo regarding tariff classifications, trade preferences, and regulatory changes.
- Validity: This Purchase Order is valid for a period of twelve (12) months from the date of issue, subject to annual renewal upon mutual written agreement between the parties.
- Payment Terms: Payment shall be made via bank transfer (TED/DOC) to the account designated by the Service Provider within thirty (30) calendar days of receipt of a valid invoice (Nota Fiscal) issued in accordance with Brazilian tax regulations applicable to the state of São Paulo.
- Performance Standards: The Customs Officer(s) must maintain a minimum clearance efficiency rate of 95% and a documentation accuracy rate of 99% as measured by the São Paulo Customs House performance metrics.
- Compliance: All personnel engaged under this Purchase Order must hold valid registration with the Federal Revenue Service of Brazil and must comply with the Code of Ethics for Customs Officers established by the Receita Federal.
- Confidentiality: The Service Provider and all Customs Officers shall maintain strict confidentiality regarding cargo manifests, trade data, and operational procedures specific to Brazil São Paulo customs operations.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In cases of material breach, termination may be effected with fifteen (15) days notice.
- Governing Law: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of the city of São Paulo, State of São Paulo.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Brazil São Paulo.
