Payment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the supplier's designated account. The payment schedule is as follows: 30% advance payment (CNY 312,180.00) upon execution of this Purchase Order; 50% (CNY 520,300.00) upon delivery and acceptance of all physical goods at the Beijing Customs Office; and 20% (CNY 208,120.00) upon successful completion of the installation, integration, and training services. The supplier shall issue a VAT invoice (fapiao) for each payment tranche in accordance with the tax regulations of China Beijing.
All goods shall be delivered to the Beijing Customs Office, No. 1 Xueyuan Road, Haidian District, China Beijing, no later than 05 August 2025. The supplier is responsible for all transportation, insurance, and customs clearance of the equipment within the domestic territory of China. Upon delivery, the designated Customs Officer shall inspect each item against the specifications stated in this Purchase Order. A written acceptance certificate, signed by the Customs Officer and the supplier's representative, shall be issued within five (5) business days of delivery. Any non-conforming items must be replaced or repaired at the supplier's sole expense within ten (10) business days.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission in China Beijing.
- The supplier warrants that all equipment is new, free from defects, and fully compliant with the national standards (GB) applicable to customs inspection instruments in China Beijing.
- The Customs Officer assigned to this procurement shall have final authority over the acceptance or rejection of all goods and services. No partial acceptance shall be deemed a waiver of the right to reject non-conforming items.
- The supplier shall maintain full confidentiality of all operational procedures, security protocols, and personnel information associated with the Customs Officer and the Beijing Customs Office. A non-disclosure agreement is attached as Appendix A to this Purchase Order.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting China Beijing, shall extend the delivery deadline by a period equivalent to the duration of the event.
- The supplier shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Beijing Customs Office procurement authority.
- All intellectual property rights in custom-configured software and system integrations delivered under this Purchase Order shall vest in the General Administration of Customs upon full payment.
This Purchase Order is valid for a period of ninety (90) days from the date of issue. It becomes binding upon the signature of both parties. The Customs Officer named herein is authorised to act on behalf of the Beijing Customs Office for all matters related to the inspection, acceptance, and operational deployment of the goods and services specified in this Purchase Order.
