All goods and services specified in this Purchase Order shall be delivered to the Customs Inspection Facility at the Port of Kinshasa, Gombe, DR Congo, no later than 30 July 2025. The designated Customs Officer assigned to this Purchase Order shall conduct a full inspection and acceptance test of all delivered items within five (5) business days of delivery. Acceptance shall be confirmed in writing by the Customs Officer and countersigned by the Director of the Kinshasa Port Customs Division. Any items found defective, incomplete, or non-conforming to the specifications outlined in this Purchase Order shall be replaced or repaired by the supplier at no additional cost within ten (10) business days of the acceptance report.
4. Payment and Financial TermsPayment for this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the supplier's designated account in Kinshasa, DR Congo, within forty-five (45) calendar days following written confirmation of full and satisfactory delivery by the Customs Officer. The total amount due under this Purchase Order is sixty-six thousand three hundred thirty-eight dollars and twenty-five cents (USD $66,338.25), inclusive of all applicable taxes, duties, and levies as prescribed by the tax authorities of the DR Congo. No interest shall accrue on payments made within the stipulated period. Late payments beyond the Net 45 terms shall incur a penalty of 1.5% per month, in accordance with DR Congo commercial law.
5. Terms and Conditions- This Purchase Order is governed by the laws of the Democratic Republic of the Congo and shall be interpreted in accordance with the DR Congo Commercial Code and applicable customs regulations.
- The supplier warrants that all goods delivered under this Purchase Order are new, of original manufacture, and free from defects in materials and workmanship for a period of not less than twenty-four (24) months from the date of acceptance by the Customs Officer.
- The Customs Officer designated under this Purchase Order shall have full authority to inspect, test, and reject any item that does not meet the specifications stated herein. The Customs Officer's written determination shall be final and binding for purposes of acceptance or rejection.
- All equipment and materials procured under this Purchase Order shall become the exclusive property of the DR Congo Customs Authority upon delivery and acceptance at the Port of Kinshasa.
- The supplier shall comply with all anti-corruption and anti-bribery laws of the DR Congo. Any attempt to offer inducements to the Customs Officer or any other DR Congo government official in connection with this Purchase Order shall constitute immediate grounds for termination and legal prosecution.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Kinshasa, DR Congo, in accordance with the rules of the Arbitration Centre of the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires).
- This Purchase Order may not be assigned or transferred by the supplier without the prior written consent of the DR Congo Customs Authority, Kinshasa.
