5.1 This Purchase Order is governed by the laws of the Italian Republic and the European Union public procurement directives applicable to the customs authority in Italy Naples. All transactions shall comply with the Italian Customs Code (Codice Doganale, D.Lgs. 145/2022) and relevant EU regulations.
5.2 The vendor acknowledges that all equipment and services procured under this Purchase Order are intended exclusively for the use of the Customs Officer and supporting personnel at the Port of Naples, Italy Naples. Any diversion, resale, or unauthorized transfer of the procured items is strictly prohibited and shall constitute a material breach of this Purchase Order.
5.3 Payment shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of receipt of a valid invoice and confirmed delivery. The Customs Officer's office in Naples shall issue a formal delivery acceptance certificate prior to payment processing.
5.4 All hardware items must carry a minimum two-year manufacturer warranty. Software licenses must include free updates and technical support for the full subscription period. The Customs Officer's technical team in Naples reserves the right to reject non-conforming items within fourteen (14) days of delivery.
5.5 The vendor shall comply with all Italian data protection regulations (GDPR and the Italian Privacy Code, D.Lgs. 196/2003) regarding any personal data processed in connection with this Purchase Order. All training materials and software must be provided in both Italian and English.
5.6 In the event of a dispute, the competent court shall be the Tribunal of Naples, Italy Naples. The vendor agrees to submit to the jurisdiction of the Italian courts for any matters arising from this Purchase Order.
NOTE: Upon delivery of all items listed in this Purchase Order, the designated Customs Officer at the Port of Naples shall conduct a full inspection in accordance with Italian customs procedures. The Customs Officer must verify that all serial numbers, calibration certificates, and EU conformity markings are present and legible. A signed Customs Officer receipt form (Modulo Riconsegna Doganale) must be completed and filed with the Naples Customs Directorate within 48 hours of delivery. The Customs Officer shall also confirm that all software licenses are properly registered in the Italian customs IT registry before operational deployment.
