- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation, specifically the Swiss Code of Obligations (OR) and applicable federal customs legislation. All disputes shall be resolved under the jurisdiction of the courts of the Canton of Zurich, Switzerland.
- Delivery: All goods shall be delivered to the Swiss Federal Customs Administration headquarters located at Zollstrasse 142, 8004 Zurich, Switzerland. Delivery shall be made DAP (Delivered at Place) Incoterms 2020. The supplier is responsible for all transportation, insurance, and customs clearance within Switzerland Zurich until the goods are received at the designated location.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice and confirmed delivery of goods or completion of services. Payment shall be processed via bank transfer to the supplier's designated Swiss bank account. The buyer reserves the right to withhold payment for any non-conforming deliverables.
- Quality and Compliance: All equipment procured under this Purchase Order must meet the technical specifications outlined in Annex A and comply with Swiss Federal Customs Administration standards. All Customs Officer equipment must bear the CE marking and comply with applicable Swiss and European Union technical regulations where applicable.
- Warranty: The supplier warrants that all goods delivered under this Purchase Order shall be free from defects in material and workmanship for a period of twenty-four (24) months from the date of delivery. The warranty covers all Customs Officer operational equipment including scanners, terminals, and tactical gear.
- Confidentiality: The supplier acknowledges that this Purchase Order relates to sensitive customs enforcement operations. All information pertaining to Customs Officer deployment, inspection protocols, and operational procedures in Switzerland Zurich shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization from the Swiss Federal Customs Administration.
- Intellectual Property: All custom software configurations, data templates, and operational procedures developed specifically for Customs Officer use under this Purchase Order shall remain the exclusive property of the Swiss Federal Customs Administration.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall be compensated for goods already manufactured and services already rendered, subject to verification by the buyer's procurement division in Zurich.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or disruptions to customs operations in Switzerland Zurich.
- Anti-Corruption: The supplier certifies that no part of the consideration under this Purchase Order has been or will be paid to any Customs Officer, government official, or representative in violation of Swiss anti-corruption legislation (Art. 322 et seq. of the Swiss Criminal Code).
