2. Purchase Order Description — Customs Officer Engagement

This Purchase Order is issued by Al Noor International Trading FZE, a registered entity operating in the United Arab Emirates Dubai free zone, to formally engage the services of a licensed Customs Officer through Emirates Customs & Trade Solutions LLC. The Customs Officer shall be responsible for the complete management, clearance, and documentation of all import and export shipments transiting through the Dubai International Airport (DXB), Jebel Ali Port, and Dubai International Free Zone (DIFZ) facilities. The engagement is governed by the Federal Customs Authority (FCA) regulations of the United Arab Emirates and the Dubai Customs operational guidelines.

4. Terms and Conditions

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Federal Law of the United Arab Emirates, the Dubai Commercial Transactions Law, and all applicable regulations issued by the Federal Customs Authority (FCA) and Dubai Customs.
  2. Customs Officer Qualifications: The Customs Officer assigned under this Purchase Order must hold a valid FCA-issued Customs Officer License (Category A), a minimum of five (5) years of experience in UAE customs clearance, and current registration with the Dubai Customs Trade Portal. The officer must be a UAE national or hold a valid UAE residence visa with a trade-related professional permit.
  3. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Payment shall be processed via bank transfer to the supplier's designated account in the United Arab Emirates Dubai. All invoices must include the supplier's VAT registration number and reference this Purchase Order number (PO-DXB-2025-04872).
  4. Performance Standards: The Customs Officer shall ensure that no more than 5% of declared shipments experience clearance delays exceeding 48 hours. Failure to meet this standard for two consecutive months shall entitle the buyer to a 10% service credit on the affected monthly fee.
  5. Confidentiality: The Customs Officer and the supplier shall maintain strict confidentiality regarding all trade data, commercial invoices, shipping manifests, and client information processed in the United Arab Emirates Dubai. This obligation survives the termination of this Purchase Order for a period of three (3) years.
  6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Customs Officer shall hand over all pending declarations, files, and system access credentials within five (5) business days.
  7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to the Dubai International Financial Centre (DIFC) Courts or, at the buyer's election, to arbitration under the DIFC-LCIA Arbitration Rules in Dubai, United Arab Emirates.
  8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port closures, government-mandated trade suspensions, or system outages of the Dubai Customs e-Clearance platform.
  9. Compliance: The Customs Officer shall comply with all anti-corruption, anti-bribery, and sanctions regulations applicable in the United Arab Emirates Dubai, including the UAE Federal Decree-Law No. 20 of 2016 on Anti-Money Laundering and the Dubai Financial Services Authority (DFSA) guidelines where applicable.
