1. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

3. TERMS AND CONDITIONS
  1. Delivery and Deployment: All services and equipment referenced in this Purchase Order shall be delivered and made operational at the designated Port of Houston facilities within United States Houston no later than July 15, 2025. The Customs Officer team must be fully deployed and operational by the Effective Date stated above.
  2. Payment Terms: Payment shall be made net thirty (30) days from the date of invoice receipt. Invoices shall be submitted monthly. The total value of this Purchase Order is three hundred seventy-three thousand five hundred seventy dollars and seventy-five cents (USD $373,570.75).
  3. Compliance and Licensing: The Seller warrants that all Customs Officers assigned under this Purchase Order hold valid federal and state credentials, are in good standing with the United States CBP, and possess all necessary clearances to operate within the United States Houston customs zone. Any lapse in certification shall result in immediate replacement at the Seller's expense.
  4. Performance Standards: The Customs Officer team shall process a minimum of 200 cargo inspections per shift, maintain a documentation accuracy rate of no less than 99.2%, and file all regulatory reports within the timelines mandated by the United States Houston port authority.
  5. Confidentiality: All information obtained by the Customs Officer during the course of duties under this Purchase Order, including but not limited to shipment contents, commercial data, and enforcement actions, shall be treated as strictly confidential and subject to federal non-disclosure requirements applicable in United States Houston.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice.
