4.1 Payment Terms: Payment for this Purchase Order shall be made in the national currency of Uzbekistan (Uzbek Som, UZS) via bank transfer to the Supplier's designated account. A 30% advance payment is due upon signing of this Purchase Order. The remaining 70% shall be disbursed in equal monthly instalments contingent upon satisfactory delivery of the Customs Officer services and equipment as verified by the Tashkent Regional Directorate of the State Customs Committee.
4.2 Performance Standards: The Customs Officer procured under this Purchase Order must hold a minimum of a bachelor's degree in international trade law, economics, or a related field, possess no fewer than three (3) years of verifiable experience in customs operations, and demonstrate proficiency in the Uzbek, Russian, and English languages. The Customs Officer must pass all security clearances administered by the State Security Service of Uzbekistan prior to deployment at any facility in Tashkent.
4.3 Delivery and Acceptance: All goods and services specified in this Purchase Order shall be delivered to the Tashkent International Airport Customs Terminal (Building C, Level 2) or the Tashkent Dry Port Logistics Hub (Chirchiq Road, Tashkent) as directed by the Buyer. Acceptance of deliverables shall be confirmed in writing by the designated receiving officer of the State Customs Committee within five (5) business days of delivery.
4.4 Warranties and Liability: The Supplier warrants that all equipment provided for the Customs Officer shall be new, free from defects, and fully compliant with the technical standards established by the State Standardization Committee of Uzbekistan. The Supplier shall bear full liability for any non-conformity discovered within the warranty period of twelve (12) months from the date of acceptance.
4.5 Confidentiality: All information pertaining to customs operations, cargo manifests, trade data, and the identity of the Customs Officer shall be treated as strictly confidential in accordance with the Law of the Republic of Uzbekistan on State Secrets and the internal regulations of the State Customs Committee. Breach of confidentiality shall result in immediate termination of this Purchase Order and legal proceedings.
4.6 Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and the Tax Code of the Republic of Uzbekistan. Any disputes arising from this Purchase Order shall first be subject to mediation in Tashkent. Should mediation fail, disputes shall be referred to the Commercial Court of Tashkent City, Uzbekistan.
4.7 Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or changes in customs legislation enacted by the Republic of Uzbekistan.
5. AUTHORIZATION AND SIGNATURESBy signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Customs Officer services and equipment in Uzbekistan Tashkent.
