- Payment Terms: Payment shall be made via bank transfer to the supplier's designated account within 30 (thirty) calendar days from the date of receipt of the valid VAT invoice and the signed acceptance certificate issued by the responsible Customs Officer in Ho Chi Minh City. The payment shall be processed through the Ho Chi Minh City State Treasury.
- Delivery: All goods shall be delivered to the Customs Officer's operational facility at the Ho Chi Minh City International Port (Cai Mep - Thi Vai Terminal) or Tan Suat International Airport, District 7, Ho Chi Minh City, as specified per line item. The supplier bears all transportation and insurance costs until the goods are received and inspected by the Customs Officer.
- Warranty: The supplier guarantees a minimum 24-month warranty on all hardware items. Software licenses carry a 5-year support period. Any defects discovered during the warranty period shall be repaired or replaced at no additional cost to the buyer.
- Compliance: The supplier certifies that all goods and services provided under this Purchase Order comply with the laws of the Socialist Republic of Vietnam, including the Customs Law, the Law on Tax Administration, and all applicable decrees of the Ministry of Finance. The Customs Officer retains the right to inspect, test, and reject any item that does not meet the stated specifications.
- Confidentiality: The supplier acknowledges that the Customs Officer and the Ho Chi Minh City Regional Customs Office handle sensitive import/export data. All personnel involved in the delivery, installation, and training under this Purchase Order shall sign a non-disclosure agreement in accordance with Vietnamese data protection regulations.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through negotiation between the Customs Officer and the supplier. If unresolved within 30 days, the matter shall be submitted to the People's Court of District 1, Ho Chi Minh City, for adjudication under Vietnamese law.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated closures, or other events beyond reasonable control, as defined under the Civil Code of Vietnam.
