Any disputes arising from this Purchase Order related to the engagement of the Data Scientist shall be resolved through the competent courts of Algiers, Algeria.
2. Commencement Date: The Data Scientist shall commence services no later than 01 July 2025 at the Buyer's office located in Hydra, Algiers, Algeria. The engagement period is twelve (12) months, renewable by mutual written agreement.
3. Payment Schedule: Payment for the monthly retainer (Item 1) shall be due within thirty (30) calendar days from the date of invoice issuance. Project-based deliverables (Items 2 and 3) shall be invoiced upon acceptance of the completed work by the Buyer's project manager. All payments shall be made in Algerian Dinars (DZD) via bank transfer to the supplier's account in Algiers.
4. Performance Standards: The Data Scientist is expected to deliver all work products in accordance with internationally recognized data science best practices, including but not limited to reproducible code, documented methodologies, and adherence to the Algerian data protection and privacy regulations (Law 18-07 on the Protection of Personal Data).
5. Intellectual Property: All models, algorithms, code, reports, and analytical outputs produced by the Data Scientist in the course of fulfilling this Purchase Order shall be the exclusive property of Sahara Digital Solutions SARL. The supplier hereby assigns all intellectual property rights to the Buyer upon full payment.
6. Confidentiality: The Data Scientist and the supplier shall maintain strict confidentiality regarding all proprietary data, business strategies, and internal systems of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the supplier, the Buyer may terminate immediately upon written notice. Upon termination, the supplier shall deliver all work-in-progress and associated documentation to the Buyer within seven (7) business days.
8. Work Location: The primary work location for the Data Scientist shall be the Buyer's premises in Algiers, Algeria. Remote work may be permitted with prior written approval from the Buyer, provided that all data access remains compliant with Algerian regulatory requirements.
9. Compliance: The supplier warrants that the Data Scientist engaged under this Purchase Order holds the necessary professional qualifications, valid work authorization in Algeria, and all required permits to perform data science services within the territory of Algeria, Algiers.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Algiers region.
