4.1 Payment Terms: Payment for this Purchase Order shall be made in monthly installments via bank transfer to the account designated by DataMind Consulting Group SRL. Invoices must be issued in accordance with Argentine tax regulations (AFIP electronic invoicing system). Payment is due within thirty (30) calendar days from the date of invoice receipt.
4.2 Work Location: The Data Scientist shall perform all duties at the Purchasing Entity's office in Argentina Buenos Aires, or as otherwise agreed in writing. Remote work may be permitted for up to two (2) days per week, subject to the Purchasing Entity's approval.
4.3 Intellectual Property: All models, algorithms, code, documentation, and analytical outputs produced by the Data Scientist during the engagement shall be the exclusive property of Andes Analytics Solutions S.A. upon full payment of the amounts specified in this Purchase Order.
4.4 Confidentiality: The Data Scientist and DataMind Consulting Group SRL agree to maintain strict confidentiality regarding all proprietary data, business strategies, and technical information encountered during the engagement in Argentina Buenos Aires. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4.5 Compliance: The Service Provider warrants that the Data Scientist shall comply with all applicable Argentine labor laws, data protection regulations (Ley 25.326 – Personal Data Protection), and professional standards in force in Argentina Buenos Aires.
4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Purchasing Entity shall pay for all services rendered up to the termination date.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic. Any disputes arising from this document shall be resolved in the competent courts of Argentina Buenos Aires.
