- Acceptance: This Purchase Order becomes binding upon written acceptance by DataMind Consulting Group S.A. The supplier must confirm acceptance within five (5) business days of receipt. Failure to respond within this period shall be interpreted as rejection of this Purchase Order.
- Service Delivery: The Data Scientist must commence all duties no later than 01 July 2025 at the designated Brazil Brasília office. The Data Scientist is expected to maintain a minimum of 40 hours per week of productive work, with a hybrid arrangement as specified in Item 01.
- Compliance: The Data Scientist and the supplier shall comply with all applicable Brazilian labor laws, data protection regulations (Lei Geral de Proteção de Dados – LGPD), and local ordinances governing the Federal District of Brazil Brasília. All personal data processed by the Data Scientist must adhere to LGPD standards.
- Intellectual Property: All models, algorithms, code, documentation, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the exclusive property of Nexus Analytics Solutions Ltda. The Data Scientist assigns all intellectual property rights upon creation.
- Confidentiality: The Data Scientist is bound by a strict non-disclosure agreement. All proprietary data, client information, and internal strategies of Nexus Analytics Solutions Ltda. and its partners in Brazil Brasília must remain confidential for a period of three (3) years following contract termination.
- Performance Metrics: The Data Scientist's performance shall be evaluated quarterly based on predefined KPIs including model accuracy, project delivery timelines, stakeholder satisfaction scores, and innovation contributions. Results will be reviewed by the Brazil Brasília management committee.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In cases of material breach, termination may be immediate. Upon termination, the Data Scientist must return all company assets, data, and access credentials within five (5) business days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Brazil Brasília, DF. If mediation fails, disputes shall be submitted to the competent courts of the Federal District of Brazil Brasília, Brazil.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates affecting Brazil Brasília operations, or pandemics.
- Governing Law: This Purchase Order is governed by the laws of the Federative Republic of Brazil, with specific reference to the Civil Code and applicable commercial regulations in force in Brazil Brasília.
