The Data Scientist professionals engaged under this Purchase Order must meet the following minimum qualifications to ensure the highest standard of technical delivery in Brazil Rio de Janeiro:
- Master's or Doctoral degree in Data Science, Statistics, Computer Science, Applied Mathematics, or a closely related quantitative field.
- Minimum of five (5) years of progressive professional experience as a Data Scientist, with at least two (2) years in a senior or lead capacity.
- Demonstrated proficiency in Python, R, SQL, and at least one major machine learning framework (TensorFlow, PyTorch, or scikit-learn).
- Proven experience in deploying production-grade machine learning models and building scalable data pipelines.
- Fluency in English (written and spoken) and proficiency in Portuguese, given the operational base in Brazil Rio de Janeiro.
- Valid professional registration with the relevant Brazilian regulatory body (where applicable) and full compliance with local labor and tax obligations in the state of Rio de Janeiro.
- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by DataMind Consulting & Talent Partners S.A. within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
- Commencement of Services: The Data Scientist engagement shall commence no later than July 1, 2025, with all professionals physically present at the buyer's facility in Brazil Rio de Janeiro for the initial onboarding and infrastructure setup phase.
- Payment Terms: Payment shall be made in monthly installments via bank transfer (TED/PIX) to the account designated by the seller. Invoices are due within thirty (30) calendar days from the date of receipt. Late payments shall accrue interest at the rate of 1% per month, in accordance with Brazilian commercial law.
- Work Location: All services under this Purchase Order shall be performed primarily in Brazil Rio de Janeiro, State of Rio de Janeiro, Federal Republic of Brazil. Any change of work location requires prior written consent from the buyer.
- Intellectual Property: All models, algorithms, code, documentation, and analytical outputs produced by the Data Scientist professionals during the term of this Purchase Order shall be the exclusive property of NovaTech Analytics Solutions Ltda. The seller warrants that no third-party intellectual property rights are infringed.
- Confidentiality & Data Protection: The Data Scientist professionals shall be bound by strict confidentiality obligations and shall comply fully with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018) in all data handling activities conducted in Brazil Rio de Janeiro.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fifteen (15) days' notice. Upon termination, the seller shall deliver all work-in-progress and completed deliverables to the buyer.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes shall be resolved by arbitration in Brazil Rio de Janeiro, in accordance with the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá).
- Tax Compliance: The seller is responsible for all applicable federal, state (Rio de Janeiro), and municipal taxes, including ISS (Imposto Sobre Serviços), INSS, and income tax withholdings related to the Data Scientist professionals engaged under this Purchase Order.
- Warranty: The seller warrants that the Data Scientist services shall be performed in a professional, workmanlike manner consistent with industry best practices. A warranty period of ninety (90) days shall apply to all delivered models and analytical solutions.
