This Purchase Order (PO-2025-CV-04872) is issued by Pacific Analytics Solutions Inc. to DataBridge Consulting Group Ltd. for the procurement of specialized Data Scientist professional services. 3.1 This Purchase Order shall remain valid for a period of ninety (90) calendar days from the date of issue. The Seller must confirm acceptance of this Purchase Order in writing within fifteen (15) business days, failing which this Purchase Order shall be considered void and of no effect.
3.2 All Data Scientist personnel assigned to this engagement must hold a minimum of a Master's degree in Data Science, Statistics, Computer Science, or a closely related quantitative field. The primary Data Scientist lead must possess a minimum of seven (7) years of professional experience in machine learning, statistical modelling, and large-scale data engineering.
3.3 All services under this Purchase Order shall be rendered in Canada Vancouver, British Columbia. The Seller is responsible for ensuring that all Data Scientist personnel comply with Canadian employment standards, the Personal Information Protection Act (PIPA) of British Columbia, and all applicable federal privacy regulations when handling data within the Canada Vancouver jurisdiction.
3.4 Payment terms are Net 45 days from the date of invoice receipt. Invoices shall be submitted monthly in Canadian Dollars (CAD). Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the British Columbia Interest Act.
3.5 The Seller warrants that all Data Scientist deliverables shall be free from intellectual property infringement and shall be delivered in accordance with the project timelines outlined in the attached Statement of Work (SOW-2025-CV-04872-A).
3.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination.
3.7 Disputes arising from this Purchase Order shall be resolved through mediation in Canada Vancouver before proceeding to arbitration under the rules of the British Columbia Arbitration Institute.
