1. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices shall be issued in Chilean Pesos (CLP) and must include the supplier's RUT number as required by the Servicio de Impuestos Nacionales of Chile. All transactions under this Purchase Order shall be processed through the buyer's accounts payable department in Chile Santiago.
2. Delivery and Performance: All deliverables specified in this Purchase Order shall be completed and delivered to the buyer's designated project manager at the offices in Chile Santiago. The Data Scientist shall adhere to the project timeline outlined in the attached Statement of Work. Any delays must be communicated in writing no fewer than five (5) business days in advance.
3. Intellectual Property: All models, code, documentation, and analytical outputs created by the Data Scientist in the course of fulfilling this Purchase Order shall become the exclusive property of Andes Analytics Solutions SpA upon full payment. The Data Scientist retains the right to reference the engagement in professional portfolios, subject to a non-disclosure agreement covering proprietary data.
4. Data Protection and Compliance: The Data Scientist shall comply with Chile's Law No. 19.628 on the Protection of Private Life and all applicable regulations enforced by the Agencia de Protección de Datos. All personal data processed during the engagement shall be stored and processed within Chile Santiago or within the Republic of Chile, and shall not be transferred to third-party jurisdictions without explicit written authorization from the buyer.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Data Scientist shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress deliverables shall be handed over to the buyer in Chile Santiago.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved through the competent courts of the Metropolitan Region, Chile Santiago.
7. Validity: This Purchase Order is valid for a period of one hundred twenty (120) days from the date of issue. If the Data Scientist does not accept the terms within this period, the Purchase Order shall automatically lapse and must be reissued.
