This Purchase Order is issued by Andes Digital Solutions S.A.S. to formally authorize the procurement of specialized professional services rendered by a qualified Data Scientist engaged through Neural Analytics Consulting Ltda. The services described herein are to be performed exclusively within the metropolitan area of Colombia Bogotá, specifically at the buyer's headquarters located on Avenida El Poblado. This Purchase Order constitutes a binding agreement between both parties and supersedes all prior verbal or written communications regarding the engagement of the Data Scientist for the project period specified below.

The Data Scientist contracted under this Purchase Order shall provide the following professional services to the buyer's analytics and machine learning division:

All services under this Purchase Order shall be rendered at the buyer's primary office in Colombia Bogotá, located at Avenida El Poblado #19-22, Of. 801, Bogotá D.C., Cundinamarca. The Data Scientist is expected to be physically present at the Colombia Bogotá site for a minimum of four (4) days per week. Remote work from a verified address within the Colombia Bogotá metropolitan area is permitted for one (1) day per week, subject to prior written approval from the project manager. The supplier shall ensure that the Data Scientist complies with all local labor regulations applicable in Colombia Bogotá, including but not limited to the Colombian Labor Code (Código Sustantivo del Trabajo) and data protection laws (Ley 1581 de 2012).

Payment for services rendered under this Purchase Order shall be made in monthly installments, due within fifteen (15) calendar days from the date of invoice submission. Invoices shall be issued in Colombian Pesos (COP) and must reference this Purchase Order number (PO-COL-BGA-2025-04872). Payment shall be processed via bank transfer to the supplier's account at Bancolombia, Colombia Bogotá branch. A late payment penalty of 1.5% per month shall apply to any overdue balance. The buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria defined in Section 5 of this Purchase Order.

The Data Scientist shall submit the following deliverables, each subject to a ten (10) business-day review period by the buyer's technical committee in Colombia Bogotá:

• Trained and validated machine learning models with accuracy metrics exceeding 85% on the test dataset.
• Complete source code repositories hosted on the buyer's private GitHub instance, with full documentation in English.
• Interactive Power BI dashboards accessible via the internal Colombia Bogotá network.
• A/B testing framework documentation, including statistical methodology and interpretation guides.
• Training materials and recorded workshop sessions for the internal analytics team.

The Data Scientist shall sign a Non-Disclosure Agreement (NDA) prior to commencing work under this Purchase Order. All proprietary data, algorithms, and business intelligence accessed during the engagement in Colombia Bogotá shall remain the exclusive property of the buyer. The Data Scientist shall not replicate, distribute, or use any confidential information for purposes other than those specified in this Purchase Order. Violation of confidentiality terms shall result in immediate termination and legal action under Colombian law.

Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall compensate the supplier for all services rendered up to the termination date, as documented by the Data Scientist's timesheets approved in Colombia Bogotá. No additional penalties shall apply beyond the compensation for completed work.
