The engagement of this Data Scientist is intended to support the Buyer's ongoing analytics infrastructure, machine learning model development, and predictive reporting systems that serve the broader Egyptian market from the Alexandria headquarters.

The Data Scientist shall be responsible for designing, building, testing, and deploying statistical models, machine learning pipelines, and data visualization dashboards. All work shall be conducted primarily at the Buyer's office located in Egypt Alexandria, with the possibility of remote collaboration on approved days. The Data Scientist must possess a minimum of five (5) years of professional experience in data science, proficiency in Python, R, SQL, and at least one major machine learning framework (TensorFlow, PyTorch, or Scikit-learn), and demonstrated experience working within the Egyptian regulatory and data governance environment.

1. Place of Performance: All services under this Purchase Order shall be rendered in Egypt Alexandria, specifically at the Buyer's premises at 42 Corniche El-Nil, Smouha. The Data Scientist is expected to be physically present in Egypt Alexandria for a minimum of four (4) working days per week unless otherwise agreed in writing.
2. Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of receipt of a valid invoice. The first payment shall be due upon successful completion of the initial data infrastructure audit. All payments shall be made in Egyptian Pounds (EGP) via bank transfer to the Supplier's designated account.
3. Intellectual Property: All models, code, documentation, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the exclusive property of the Buyer. The Data Scientist and the Supplier hereby assign all intellectual property rights arising from work performed in Egypt Alexandria to Alexandria Digital Solutions S.A.E.
4. Confidentiality: The Data Scientist shall maintain strict confidentiality regarding all proprietary data, business strategies, and client information encountered during the engagement in Egypt Alexandria. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
5. Compliance: The Supplier and the Data Scientist shall comply with all applicable Egyptian laws, including but not limited to the Personal Data Protection Law (Law No. 151 of 2020), the Egyptian Companies Law, and all regulations issued by the Egyptian Data Protection Authority. Work performed in Egypt Alexandria must adhere to local labor standards and professional licensing requirements.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall deliver all completed work products and source code to the Buyer within fourteen (14) days. The Buyer shall pay for all services rendered up to the effective date of termination.
7. Performance Standards: The Data Scientist shall meet the Key Performance Indicators (KPIs) outlined in the attached Service Level Agreement (SLA). Failure to meet KPIs for two consecutive months shall constitute a material breach of this Purchase Order.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the competent courts in Egypt Alexandria, and the laws of the Arab Republic of Egypt shall govern this agreement.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions in Egypt Alexandria, or pandemics, provided that the affected party notifies the other within five (5) business days.
