This Purchase Order is issued by Proxima Analytics Solutions SAS for the engagement of a qualified Data Scientist to be deployed at our operational site in France Marseille. The Data Scientist shall provide full-time, on-site analytical services as detailed below. All deliverables, reports, and working sessions related to this Purchase Order shall take place at the Proxima Analytics Solutions office located at 12 Boulevard du Littoral, 13007 Marseille, France, unless otherwise agreed in writing by both parties.

3.1 Scope of Engagement: The Data Scientist engaged under this Purchase Order shall work exclusively for Proxima Analytics Solutions SAS during the contract period. The Data Scientist is expected to be physically present at the France Marseille office no fewer than four (4) days per week, with one (1) day permitted for remote work, subject to prior approval by the project manager.

3.2 Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the IBAN specified in Section 1. Late payments shall incur interest at the rate of 1.5% per month in accordance with French commercial law (Article L441-10 of the Code de commerce).

3.3 Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Data Scientist shall complete all in-progress deliverables and conduct a full handover of models, code repositories, and documentation to the Proxima Analytics Solutions team in France Marseille.

3.4 Compliance: The Data Scientist shall comply with all applicable French labor regulations, EU data protection directives (GDPR), and internal data governance policies of Proxima Analytics Solutions SAS. All data processed by the Data Scientist shall remain within the France Marseille data center or approved EU-based cloud infrastructure.

3.5 Intellectual Property: All models, algorithms, code, reports, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the exclusive property of Proxima Analytics Solutions SAS. The Data Scientist hereby assigns all intellectual property rights arising from the engagement.

3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this agreement shall be submitted to the exclusive jurisdiction of the Commercial Court of Marseille, France Marseille.
