2. Scope of Purchase – Data Scientist Services

This Purchase Order is issued by Bayern Analytics Solutions GmbH to procure the professional services of a qualified Data Scientist for a fixed-term engagement. The Data Scientist shall be physically based and perform all duties at our primary office located in Germany Munich, specifically at Leopoldstraße 245, 80807 Germany Munich. The engagement covers the design, development, deployment, and maintenance of advanced machine learning models, statistical analysis pipelines, and predictive analytics solutions for our enterprise clients across the DACH region.

4. Terms and Conditions

Acceptance: This Purchase Order becomes binding upon written acceptance by Alpine Data Intelligence AG within ten (10) business days of the issue date. Failure to respond within this period shall be deemed a rejection of this Purchase Order.
Performance Location: All services rendered under this Purchase Order shall be performed exclusively at the Bayern Analytics Solutions GmbH premises in Germany Munich. The Data Scientist is required to be present on-site in Germany Munich no fewer than four (4) days per week, with one (1) day permitted for remote work subject to prior approval.
Deliverables: The Data Scientist shall deliver, at minimum, three (3) production-ready machine learning models, a comprehensive data governance framework, and monthly analytical reports to the Germany Munich leadership team.
Payment: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate under German commercial law (HGB § 288).
Confidentiality and Data Protection: The Data Scientist shall comply with all provisions of the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). All proprietary data accessed during the engagement in Germany Munich shall remain the exclusive property of Bayern Analytics Solutions GmbH.
Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach, termination may be effected immediately with written justification.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Germany Munich.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Munich.
Intellectual Property: All work product, models, code, and documentation created by the Data Scientist during the term of this Purchase Order shall be the sole intellectual property of Bayern Analytics Solutions GmbH.
Compliance: The vendor warrants that the Data Scientist engaged under this Purchase Order holds all necessary professional qualifications, valid work permits for Germany, and is in full compliance with German labor law (Arbeitsrecht) applicable to the Germany Munich region.

5. Delivery and Commencement

The Data Scientist engagement shall commence on 1 September 2025 at the Germany Munich office. The vendor shall ensure that the Data Scientist is fully onboarded, equipped with all necessary hardware and software, and has completed all compliance training prior to the commencement date. Any delays in onboarding attributable to the vendor shall result in a pro-rata reduction of the Purchase Order value.
