This Purchase Order is issued by TechNova Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to AnalyticsBridge Consulting LLP (hereinafter referred to as the "Seller") for the engagement of a qualified and experienced Data Scientist to deliver advanced analytics, machine learning model development, and data-driven strategic consulting services. The Data Scientist shall be physically stationed and perform all duties at the Buyer's operational office located in India Bangalore, specifically at the Whitefield Main Road premises, for the duration specified herein.

The Data Scientist engaged under this Purchase Order shall possess a minimum of five (5) years of professional experience in statistical modelling, predictive analytics, natural language processing, and deep learning frameworks. The professional shall hold a Master's degree or Ph.D. in Data Science, Computer Science, Statistics, or a closely related quantitative discipline. All deliverables produced by the Data Scientist shall be executed in accordance with the project specifications outlined in Annexure A attached to this Purchase Order.

• Payment shall be made in monthly installments, due within fifteen (15) calendar days of receipt of a valid tax invoice from the Seller, referencing this Purchase Order number (PO-2025-DBL-04782).
• A mobilization advance of twenty-five percent (25%) of the total contract value shall be disbursed within seven (7) business days of mutual execution of this Purchase Order.
• All payments shall be processed via NEFT/RTGS to the Seller's designated bank account in India Bangalore. The Seller shall provide a valid GST registration certificate and PAN details prior to the first disbursement.
• Any disputed invoices shall be resolved within ten (10) business days. Undisputed portions of the invoice shall be paid on the original due date.

• Commencement: The Data Scientist shall report to the Buyer's office in India Bangalore no later than 01 July 2025. The Seller is responsible for ensuring the Data Scientist is available and fully onboarded by this date.
• Work Location: All on-site work shall be performed at the Buyer's premises in India Bangalore. The Data Scientist shall adhere to the Buyer's office hours (Monday to Friday, 09:30 AM to 06:30 PM IST) and all internal security and confidentiality protocols applicable in India Bangalore.
• Intellectual Property: All models, code, datasets, documentation, and intellectual property created by the Data Scientist in the course of fulfilling this Purchase Order shall be the sole and exclusive property of the Buyer. The Seller and the Data Scientist shall execute any additional IP assignment documents as reasonably requested.
• Confidentiality: The Data Scientist shall be bound by a Non-Disclosure Agreement (NDA) in accordance with the Information Technology Act, 2000, and applicable data protection regulations in India. All proprietary data accessed in India Bangalore shall be handled with the highest degree of confidentiality.
• Substitution: The Seller shall not substitute the assigned Data Scientist without prior written consent from the Buyer. Any proposed replacement must demonstrate equivalent or superior qualifications and experience.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Seller shall ensure a smooth handover of all work-in-progress by the Data Scientist within fifteen (15) days.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
• Compliance: The Seller warrants that the Data Scientist is legally authorized to work in India and that all applicable labour, tax, and regulatory obligations in India Bangalore shall be met by the Seller.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Data Scientist in India Bangalore. This document constitutes a binding agreement upon execution by both authorized representatives.
