This Purchase Order is issued by Meridian Analytics Pvt. Ltd. (hereinafter referred to as the "Buyer") to Apex Talent Solutions LLP (hereinafter referred to as the "Seller") for the engagement of a qualified and experienced Data Scientist to provide specialized analytical, machine learning, and statistical modeling services. The Data Scientist shall be physically stationed and perform all duties at the Buyer's operational office located in India Mumbai, specifically at the BKC campus, for the duration specified herein.

The scope of work for the Data Scientist under this Purchase Order includes, but is not limited to: designing and implementing predictive analytics models; developing and deploying machine learning pipelines; conducting exploratory data analysis on enterprise datasets; building natural language processing solutions; creating data visualization dashboards; collaborating with cross-functional teams based in India Mumbai; and presenting findings to senior leadership. The Data Scientist shall possess a minimum of five (5) years of professional experience in data science, with demonstrated proficiency in Python, R, SQL, TensorFlow, PyTorch, and cloud-based data platforms (AWS, Azure, or GCP).

Payment against this Purchase Order shall be made on a monthly basis via NEFT/RTGS to the Seller's designated bank account. Invoices must be submitted by the 5th of each subsequent month. The Buyer shall process payment within fifteen (15) business days of receipt of a valid invoice. All amounts are denominated in Indian Rupees (INR) and are subject to applicable Goods and Services Tax (GST) as per the regulations of the Government of India. Late payments shall attract interest at the rate of 1.5% per month or the rate prescribed under the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, whichever is lower.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon countersignature. All terms herein supersede any prior correspondence or verbal agreements regarding the engagement of the Data Scientist in India Mumbai.
2. The Data Scientist shall comply with all data protection and information security policies of the Buyer, including adherence to the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, as applicable in India Mumbai and across India.
3. The Seller warrants that the Data Scientist engaged under this Purchase Order holds all necessary qualifications, certifications, and professional licenses required to perform the duties described herein.
4. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for services rendered up to the effective date of termination.
5. All intellectual property, models, algorithms, code, and analytical outputs developed by the Data Scientist during the course of this engagement shall be the exclusive property of the Buyer.
6. The Data Scientist shall report to the Head of Analytics at the India Mumbai office on a full-time basis (Monday to Friday, 09:00 to 18:00 IST), with reasonable flexibility for project deadlines.
7. Disputes arising from this Purchase Order shall be resolved through arbitration in Mumbai, Maharashtra, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India Mumbai.
8. This Purchase Order shall be governed by and construed in accordance with the laws of India. The courts of Mumbai, India Mumbai, shall have exclusive jurisdiction.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Data Scientist at the India Mumbai facility. This document is valid for acceptance within thirty (30) days from the date of issue.
