This Purchase Order is issued by Meridian Analytics Pvt. Ltd. (hereinafter referred to as the "Buyer") to DataBridge Solutions LLP (hereinafter referred to as the "Supplier") for the procurement of specialized Data Scientist professional services. The Buyer requires the engagement of a senior-level Data Scientist to support its analytics division located in India New Delhi. The Data Scientist shall be responsible for designing, developing, and deploying machine learning models, conducting advanced statistical analyses, building predictive analytics pipelines, and providing strategic data-driven insights to the Buyer's executive leadership team.
The Data Scientist shall perform all duties and deliverables primarily from the Buyer's office premises situated in India New Delhi, specifically at the Connaught Place business district. The Data Scientist is expected to work a minimum of five (5) days per week, Monday through Friday, between the hours of 09:30 IST and 18:30 IST, with a one-hour lunch break. Any additional hours worked beyond the standard schedule shall be documented and compensated in accordance with the rates specified in Section 4 of this Purchase Order.

- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within ten (10) business days of the date of issue. The Supplier's acceptance confirms the availability and qualification of the Data Scientist to be deployed in India New Delhi.
- Performance: The Data Scientist shall adhere to all data security protocols, intellectual property policies, and confidentiality agreements established by the Buyer. All work products, models, code, and analytical outputs generated by the Data Scientist during the term of this Purchase Order shall be the exclusive property of the Buyer.
- Payment: Invoices shall be submitted monthly by the 5th of each month. Payment shall be processed within thirty (30) days of invoice receipt via bank transfer to the Supplier's designated account. All payments are subject to the terms outlined in this Purchase Order.
- Location and Compliance: All on-site services shall be rendered in India New Delhi. The Supplier shall ensure that the Data Scientist complies with all applicable Indian labor laws, the Information Technology Act 2000, the Digital Personal Data Protection Act 2023, and any local regulations governing professional services in India New Delhi.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall compensate the Supplier for services rendered up to the termination date, including any non-refundable commitments made for the Data Scientist's engagement.
- Performance Review: The Buyer shall conduct a quarterly performance evaluation of the Data Scientist. Failure to meet agreed-upon key performance indicators (KPIs) for two consecutive quarters shall constitute grounds for early termination of this Purchase Order without penalty to the Buyer.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in India New Delhi in accordance with the Arbitration and Conciliation Act, 1996. The governing law shall be the laws of India.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in India New Delhi.
By signing below, the parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Data Scientist in India New Delhi. This document constitutes the complete and final agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
