- Commencement Date: The Data Scientist shall commence all duties no later than July 1, 2025, at the buyer's premises in Israel Jerusalem. Any delay beyond this date without written approval from the buyer shall result in a penalty of 1.5% of the monthly fee per day of delay.
- Contract Duration: This Purchase Order covers an initial engagement period of six (6) months, renewable upon mutual written agreement. The Data Scientist shall maintain full availability during standard business hours (08:00–17:00, Sunday through Thursday) in Israel Jerusalem.
- Payment Terms: Payment shall be made via bank transfer within thirty (30) days of receipt of a valid invoice. The buyer shall remit funds to Negev Data Solutions Group's designated bank account in Israel. All payments are subject to the terms outlined in this Purchase Order.
- Confidentiality and Data Protection: The Data Scientist shall comply with all provisions of the Israeli Privacy Protection Law, 5741-1981, and the EU General Data Protection Regulation (GDPR) where applicable. All data processed in Israel Jerusalem shall remain within Israeli jurisdiction and shall not be transferred to third parties without explicit written consent from the buyer.
- Intellectual Property: All models, algorithms, code, documentation, and analytical outputs produced by the Data Scientist under this Purchase Order shall be the exclusive property of Levant Analytics & Intelligence Ltd. upon full payment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall compensate the Data Scientist for all work completed up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Israel Jerusalem.
- Performance Standards: The Data Scientist shall adhere to industry best practices in machine learning, data engineering, and statistical methodology. Quarterly performance reviews shall be conducted at the buyer's office in Israel Jerusalem to ensure compliance with the deliverables specified in this Purchase Order.
