This Purchase Order is issued by TechNova Solutions S.r.l. (hereinafter referred to as the "Purchaser") to Apex Analytics Group Ltd. (hereinafter referred to as the "Supplier") for the provision of a qualified Data Scientist professional to be deployed and performing all contractual duties within the city of Italy Rome, specifically at the Purchaser's headquarters located at Via del Corso 128, 00186 Rome, Italy. All obligations, deliverables, and service milestones defined in this Purchase Order shall be executed in full compliance with the applicable Italian labour regulations, data protection laws (including GDPR as transposed into Italian law), and the specific professional standards governing the role of a Data Scientist in the Italian market.

The Supplier shall provide the Purchaser with a senior-level Data Scientist professional for a fixed-term engagement. The Data Scientist shall be responsible for, but not limited to, the following activities performed on-site in Italy Rome:

• Designing, developing, and deploying advanced machine learning models and statistical analysis pipelines for the Purchaser's retail analytics division.
• Conducting exploratory data analysis, feature engineering, and predictive modelling using Python, R, and the Purchaser's existing data infrastructure.
• Building and maintaining natural language processing (NLP) solutions for customer sentiment analysis drawn from Italian-language consumer feedback datasets.
• Collaborating with the Purchaser's internal engineering and business intelligence teams, all meetings and workshops to be held at the Italy Rome office or at mutually agreed locations within the Rome metropolitan area.
• Producing weekly technical reports and monthly strategic presentations for the Purchaser's executive board, with all documentation to be delivered in English and, where required by Italian regulatory obligations, accompanied by an Italian-language summary.
• Ensuring full compliance with the Italian General Data Protection Regulation (GDPR) framework in all data handling, storage, and processing activities performed in Italy Rome.

The Data Scientist shall work a standard Italian working week of 40 hours, Monday through Friday, between the hours of 09:00 and 18:00 (CET), with a one-hour unpaid lunch break, in strict accordance with the Italian national collective bargaining agreement (CCNL) applicable to the information technology sector.

Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days from the date of receipt of a valid invoice. Invoices shall be issued monthly in arrears. 1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any dispute arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Rome, Italy.
2. Confidentiality: The Data Scientist shall be bound by a non-disclosure agreement (NDA) executed prior to commencement of work. All proprietary data, algorithms, and business intelligence materials accessed during the engagement in Italy Rome shall remain the exclusive property of the Purchaser.
3. Intellectual Property: All models, code, documentation, and analytical outputs created by the Data Scientist during the term of this Purchase Order shall be the sole intellectual property of the Purchaser upon full payment of the corresponding invoice.
4. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure an orderly handover of all work-in-progress materials related to the Data Scientist's engagement.
5. Compliance: The Supplier warrants that the Data Scientist possesses all necessary professional qualifications, certifications, and legal authorisations to perform data science and analytics work in Italy Rome, including compliance with the Italian Data Protection Authority (Garante per la Protezione dei Dati Personali) regulations.
6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Italy Rome.
