- Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier. The Supplier shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
- Service Delivery Location: All services under this Purchase Order shall be performed at the Buyer's facility in Japan Tokyo, specifically at the address listed above. The Data Scientist shall maintain a minimum of 90% on-site presence at the Japan Tokyo office during standard business hours (09:00–18:00 JST, Monday through Friday).
- Qualification Requirements: The Data Scientist assigned to this Purchase Order must hold a minimum of a Master's degree in Statistics, Computer Science, Data Science, or a related quantitative field, and possess a minimum of five (5) years of professional experience in machine learning, statistical modeling, and large-scale data engineering. Fluency in Japanese (JLPT N2 or above) is mandatory for effective collaboration with the Japan Tokyo team.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the Supplier's designated account in Japan within thirty (30) calendar days of invoice receipt. All amounts are denominated in Japanese Yen (JPY) and are subject to the applicable 10% Japanese Consumption Tax.
- Intellectual Property: All models, algorithms, code, documentation, and analytical outputs created by the Data Scientist in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Supplier grants the Buyer a perpetual, irrevocable, royalty-free license to all pre-existing tools and methodologies incorporated into the deliverables.
- Confidentiality & Data Protection: The Data Scientist shall adhere to all confidentiality obligations under Japanese law, including the Act on the Protection of Personal Information (APPI) and the Personal Information Protection Commission (PPC) guidelines. No data processed in Japan Tokyo shall be transferred outside of Japan without prior written consent from the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress and completed deliverables to the Buyer within ten (10) business days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Tokyo District Court.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes common to Japan Tokyo), government mandates, or pandemics, provided that the affected party notifies the other within 48 hours.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. All amendments must reference this Purchase Order number (PO-JT-2025-04871).
