This Purchase Order is issued by Amsterdam Analytics Group B.V. (hereinafter referred to as the "Buyer") to NorthStar Talent Solutions N.V. (hereinafter referred to as the "Supplier") for the procurement and placement of a qualified Data Scientist professional to be engaged on a full-time basis at the Buyer's primary office located in Netherlands Amsterdam. The Data Scientist shall be responsible for developing, implementing, and maintaining advanced machine learning models, statistical analysis pipelines, and predictive analytics solutions that support the Buyer's core business intelligence operations.

The Data Scientist position requires a minimum of five (5) years of professional experience in data science, machine learning, and statistical modelling. The candidate must hold at least a Master's degree in Data Science, Computer Science, Statistics, Mathematics, or a closely related quantitative discipline. Proficiency in Python, R, SQL, and at least one major machine learning framework (e.g., TensorFlow, PyTorch, or scikit-learn) is mandatory. The Data Scientist will report directly to the Head of Analytics and will collaborate cross-functionally with engineering, product, and business development teams based in the Amsterdam office.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising from this Purchase Order regarding the Data Scientist engagement in Netherlands Amsterdam shall be subject to the exclusive jurisdiction of the District Court of Amsterdam.
2. Payment Terms: The Buyer shall remit payment within thirty (30) calendar days from the date of receipt of a valid invoice from the Supplier. Invoices shall be issued monthly in arrears for the Data Scientist services rendered. Payment shall be made via bank transfer to the Supplier's designated account in the Netherlands.
3. Commencement Date: The Data Scientist shall commence duties no later than 1 September 2025 at the Buyer's office in Netherlands Amsterdam. The Supplier is responsible for ensuring the Data Scientist is available and fully onboarded by this date.
4. Contract Duration: This Purchase Order covers an initial engagement period of twelve (12) months. Upon successful completion of the probationary period and mutual agreement, the engagement may be extended on an annual basis. The Data Scientist shall be employed under a Dutch indefinite-term employment contract in compliance with the Dutch Working Conditions Act (Arbeidswet).
5. Confidentiality and IP: The Data Scientist shall be bound by a non-disclosure agreement and intellectual property assignment clause. All models, algorithms, datasets, and analytical work products developed during the engagement in Netherlands Amsterdam shall be the exclusive property of Amsterdam Analytics Group B.V.
6. Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Data Scientist's employment shall be governed by Dutch statutory termination provisions.
7. Compliance: The Supplier warrants that the Data Scientist shall comply with all applicable Dutch and European Union data protection regulations, including the General Data Protection Regulation (GDPR) and the Dutch UAVG. The Data Scientist shall handle all personal data in strict accordance with these regulations while operating in Netherlands Amsterdam.
8. Substitution: The Supplier shall not substitute the Data Scientist without the prior written consent of the Buyer. Any proposed replacement must meet or exceed the qualifications and experience outlined in Section 2 of this Purchase Order.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Netherlands Amsterdam.

5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Data Scientist services in Netherlands Amsterdam. This document constitutes a binding agreement between the Buyer and the Supplier effective from the date of the last signature.
