This Purchase Order is issued by West Africa Digital Solutions S.A. (hereinafter referred to as the "Buyer") to Talents & Analytics Consulting Group (hereinafter referred to as the "Supplier") for the procurement and engagement of a qualified Data Scientist to support the Buyer's analytics division based in Senegal Dakar. This Purchase Order constitutes a binding agreement upon full execution by both parties and governs all terms, conditions, deliverables, and financial obligations related to the engagement.

The Buyer hereby requests the Supplier to identify, vet, and place a senior-level Data Scientist professional who will be physically stationed and operational in Senegal Dakar for a minimum contract duration of twelve (12) months, with the option to extend for an additional six (6) months at the Buyer's discretion. The Data Scientist shall be responsible for the following core duties and deliverables:

• Designing, developing, and deploying machine learning models and predictive analytics pipelines tailored to the West African telecommunications and financial services markets operating out of Senegal Dakar.
• Leading end-to-end data engineering workflows, including data ingestion, transformation, quality assurance, and storage within the Buyer's on-premise and cloud infrastructure located in the Dakar metropolitan area.
• Conducting exploratory data analysis, statistical modeling, and advanced visualization to generate actionable business intelligence reports for senior leadership in Senegal Dakar.
• Mentoring and upskilling a team of four (4) junior analysts based at the Buyer's Dakar headquarters, ensuring knowledge transfer and capacity building within the local Data Scientist talent pool.
• Collaborating with cross-functional teams in engineering, product, and operations to embed data-driven decision-making into the organization's strategic planning processes in Senegal Dakar.
• Ensuring full compliance with Senegalese data protection regulations, including the Loi n° 2008-12 du 25 janvier 2008 relative à la protection des données à caractère personnel, as applicable to all data processing activities conducted in Senegal Dakar.

The Data Scientist placed under this Purchase Order must meet the following minimum qualifications:

• A Master's degree or higher in Data Science, Statistics, Computer Science, Applied Mathematics, or a closely related quantitative field from an accredited institution.
• A minimum of seven (7) years of progressive professional experience as a Data Scientist or in a senior analytics role, with at least three (3) years of demonstrated experience working in or serving the West African market.
• Proficiency in Python, R, SQL, and at least one major machine learning framework (e.g., TensorFlow, PyTorch, Scikit-learn).
• Working knowledge of the French language is mandatory, as all operational documentation, client communications, and regulatory filings in Senegal Dakar are conducted in French. Fluency in English is strongly preferred.
• Proven experience with cloud platforms (AWS, Azure, or GCP) and big data technologies (Hadoop, Spark, Kafka).
• Valid work authorization or eligibility for a work permit in the Republic of Senegal, with the Supplier responsible for facilitating all necessary immigration and labor documentation for the Data Scientist prior to commencement in Senegal Dakar.

Payment shall be made on a monthly basis via bank transfer to the Supplier's designated account in Senegal Dakar, within fifteen (15) business days of receipt of a valid invoice. The initial recruitment and onboarding fee (Line Item 2.0) shall be due within ten (10) business days of the execution of this Purchase Order. All amounts are denominated in West African CFA Francs (XOF) and are subject to applicable Senegalese value-added tax (TVA) at the prevailing rate of 18%, unless otherwise exempt under the applicable tax treaty.

The Data Scientist shall commence active duties no later than 1 August 2025 at the Buyer's primary office facility located at Tour Kheved, Plateau, Senegal Dakar. The standard working week shall be Monday through Friday, 08:00 to 17:00 West Africa Time (WAT, UTC+1), with a one-hour unpaid lunch break. The Supplier guarantees that the Data Scientist shall be physically present in Senegal Dakar for a minimum of four (4) days per week, with the remaining day allocated to remote collaboration with the Buyer's regional offices in Abidjan and Lomé.

• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, particularly the Code du Travail and the Code des Obligations Civiles et Commerciales. Any disputes arising from this Purchase Order shall be submitted to the competent commercial courts of Senegal Dakar.
• Confidentiality: The Supplier and the Data Scientist shall execute a mutual Non-Disclosure Agreement (NDA) prior to accessing any proprietary data, models, or business information of the Buyer. All data processed in Senegal Dakar shall remain the exclusive intellectual property of the Buyer.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall ensure an orderly transition of all Data Scientist deliverables, documentation, and access credentials within ten (10) business days.
• Performance Guarantees: The Supplier warrants that the Data Scientist shall meet or exceed the Key Performance Indicators (KPIs) outlined in the attached Service Level Agreement (SLA). Failure to meet KPIs for two (2) consecutive quarterly reviews shall entitle the Buyer to request a replacement Data Scientist at no additional cost.
• Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or pandemics affecting operations in Senegal Dakar.

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the procurement of Data Scientist services in Senegal Dakar. This Purchase Order supersedes all prior negotiations, representations, and agreements, whether written or oral, relating to the subject matter herein.
