This Purchase Order is issued by TransHive Analytics (Pty) Ltd to procure the professional services of a qualified Data Scientist to be deployed at our primary operational facility located in South Africa Johannesburg. The engagement is structured as a twelve (12) month fixed-term contract with the option for a six (6) month extension subject to mutual agreement and performance review.

The Data Scientist engaged under this Purchase Order shall perform the following core duties while stationed at the South Africa Johannesburg office:

• Design, develop, and maintain machine learning and deep learning models for customer segmentation, churn prediction, and revenue forecasting.
• Collaborate with the engineering team to deploy models into production environments using MLOps best practices.
• Conduct exploratory data analysis on structured and unstructured datasets, producing actionable insights for business stakeholders in South Africa Johannesburg.
• Ensure all data handling activities comply with South African legislation, including POPIA and the National Credit Act where applicable.
• Present findings and model performance metrics to the executive board on a monthly basis.
• Mentor junior analysts and contribute to the internal data science capability-building programme.

• Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of receipt of a valid tax invoice. All payments shall be made via electronic funds transfer (EFT) to the vendor's designated bank account in South Africa Johannesburg.
• Commencement Date: The Data Scientist shall commence duties on 1 July 2025 at the Sandton office, South Africa Johannesburg, unless otherwise agreed in writing.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice.
• Confidentiality: The Data Scientist shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary data, algorithms, and business strategies of TransHive Analytics. This obligation survives termination for a period of three (3) years.
• Intellectual Property: All models, code, documentation, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the sole intellectual property of TransHive Analytics (Pty) Ltd.
• Compliance: The vendor and the Data Scientist must comply with all applicable South African labour laws, tax obligations, and industry regulations. The Data Scientist must hold a valid South African work permit or permanent residency if applicable.
• Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA).
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa.
