This Purchase Order is issued by HanaTech Analytics Co., Ltd. to procure the professional services of a qualified Data Scientist to be deployed and performing all duties within the metropolitan area of South Korea Seoul. The Data Scientist shall be responsible for end-to-end data analytics, machine learning model development, predictive analytics, and data visualization tasks as outlined in the Statement of Work (SOW) attached as Appendix A to this Purchase Order. All work deliverables, on-site meetings, and client-facing presentations related to this Data Scientist engagement shall take place at the buyer's headquarters located in South Korea Seoul, Gangnam-gu, unless otherwise specified in writing by both parties.

- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplying Party. The Data Scientist services described herein shall commence no later than July 1, 2025, at the buyer's facility in South Korea Seoul.
- Performance Location: All services rendered under this Purchase Order shall be performed primarily at the buyer's office in South Korea Seoul. The Data Scientist is expected to be physically present at the South Korea Seoul location a minimum of four (4) days per week, with remote work permitted on the fifth day subject to manager approval.
- Payment Terms: Payment shall be made within thirty (30) days of invoice receipt. Invoices shall be submitted monthly by the 5th business day. All payments shall be processed in Korean Won (KRW) via bank transfer to the account designated by the Supplying Party. Late payments shall accrue interest at 1.5% per month as per South Korea Seoul commercial regulations.
- Confidentiality & Data Protection: The Data Scientist shall comply with all provisions of the Personal Information Protection Act (PIPA) of South Korea and the buyer's internal data governance policies. All datasets accessed during this engagement in South Korea Seoul shall remain the exclusive property of HanaTech Analytics Co., Ltd.
- Intellectual Property: All models, algorithms, code, reports, and analytical outputs produced by the Data Scientist under this Purchase Order shall be the sole intellectual property of the buyer. The Data Scientist grants an irrevocable, perpetual license to the buyer for all work product created during the engagement in South Korea Seoul.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date. The Data Scientist shall complete a full handover of all work-in-progress materials within fourteen (14) days of the termination effective date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from this Purchase Order related to the Data Scientist engagement in South Korea Seoul shall be resolved through arbitration in Seoul under the rules of the Korean Commercial Arbitration Board (KCAB).
- Compliance: The Data Scientist shall comply with all applicable labor laws, immigration regulations, and professional standards in South Korea Seoul. The Supplying Party warrants that the Data Scientist holds all necessary work permits and professional certifications required to perform data science services in South Korea Seoul.
- Warranty: The Supplying Party warrants that the Data Scientist possesses a minimum of five (5) years of professional experience in machine learning, statistical modeling, and big data analytics. The Data Scientist shall hold at least a Master's degree in a relevant field (Computer Science, Statistics, Data Science, or equivalent).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting South Korea Seoul.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the procurement of Data Scientist services to be delivered in South Korea Seoul. This document constitutes the complete and final agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
