• 4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be performed by a qualified Data Scientist meeting the minimum qualifications specified in Annex A of this Purchase Order.
• 4.2 The Data Scientist shall comply with all applicable Spanish labor regulations, data protection laws (including the GDPR and the Spanish Organic Law 3/2018 on Personal Data Protection), and local ordinances governing professional services in Spain Madrid.
• 4.3 Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted monthly by the 5th business day. All payments shall be made via bank transfer to the account designated by the Supplier. Currency: Euro (EUR).
• 4.4 The Supplier guarantees that the Data Scientist assigned to this Purchase Order shall possess a minimum of five (5) years of professional experience in data science, machine learning, and statistical modeling, along with a relevant master's degree or equivalent qualification.
• 4.5 The Buyer reserves the right to request a replacement Data Scientist if performance does not meet the agreed-upon service level objectives (SLAs) outlined in this Purchase Order. Any such replacement shall be made within ten (10) business days at no additional cost to the Buyer.
• 4.6 All intellectual property, models, code, and documentation produced by the Data Scientist during the term of this Purchase Order shall be the exclusive property of the Buyer. The Data Scientist shall sign a non-disclosure agreement (NDA) prior to commencing work in Spain Madrid.
• 4.7 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered up to the termination date.
• 4.8 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Spain Madrid.
• 4.9 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Spain Madrid.
