- Commencement Date: The Data Scientist shall commence all services no later than 1 July 2025 at the Buyer's premises in Spain Valencia. Any delay in commencement beyond five (5) business days shall entitle the Buyer to terminate this Purchase Order without penalty.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be processed in Euros (EUR) via bank transfer to the account designated by the Supplier. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Spanish commercial law.
- Work Location: All on-site work shall be conducted at the Buyer's facility in Spain Valencia. The Data Scientist may perform up to 30% of the contracted hours remotely, provided that all data access complies with the security protocols established by the Buyer and applicable Spanish data residency requirements.
- Intellectual Property: All models, code, documentation, and analytical outputs produced by the Data Scientist under this Purchase Order shall be the exclusive property of the Buyer upon full payment. - Confidentiality: The Data Scientist shall be bound by a strict Non-Disclosure Agreement (NDA) for a period of three (3) years following the termination of this Purchase Order. All proprietary data, trade secrets, and business strategies of the Buyer shall remain strictly confidential.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the effective date of termination. - Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Spain Valencia, Province of Valencia.
- Compliance: The Supplier warrants that the Data Scientist engaged under this Purchase Order is fully qualified, legally authorized to perform professional services in Spain Valencia, and in compliance with all applicable tax, social security, and regulatory obligations in Spain.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Buyer authorizes the Supplier to assign a qualified Data Scientist to the project, and the Supplier confirms its capacity to deliver all services as described herein at the designated location in Spain Valencia. This Purchase Order constitutes a binding commercial agreement upon execution by both authorized representatives.
