This Purchase Order is issued by Nile Analytics & Technology Solutions LLC (hereinafter referred to as the "Buyer") to formally procure the professional services of a qualified Data Scientist to be deployed and performing all assigned duties within the city of Sudan Khartoum. The Data Scientist shall be responsible for designing, developing, and maintaining advanced predictive models, conducting exploratory data analysis, building machine learning pipelines, and delivering actionable business intelligence insights to support the Buyer's strategic operations across the Sudan Khartoum metropolitan area and its surrounding regions.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All services described herein shall be rendered exclusively at the Buyer's designated office premises located in Sudan Khartoum, unless otherwise agreed in writing.
2. The Data Scientist engaged under this Purchase Order must hold a minimum of a Master's degree in Data Science, Statistics, Computer Science, or a closely related quantitative field, and possess a minimum of five (5) years of professional experience in machine learning, statistical modeling, and data engineering.
3. The Seller warrants that the Data Scientist shall comply with all applicable data protection regulations in force in the Republic of Sudan, including the Sudanese Cyber Security Law and any directives issued by the National Information Technology Authority regarding the handling of sensitive data within Sudan Khartoum.
4. Commencement of services shall occur no later than twenty-one (21) calendar days from the date of full execution of this Purchase Order. The Data Scientist shall report to the Buyer's Chief Technology Officer at the Sudan Khartoum headquarters on the first working day of the engagement.
5. Payment shall be made in monthly installments corresponding to the unit prices outlined in Section 2. Invoices shall be submitted by the Seller on the last working day of each month. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice. All transactions shall be processed through the Bank of Khartoum, Sudan Khartoum branch.
6. The Seller shall provide a comprehensive project report at the conclusion of each phase, detailing the methodologies employed by the Data Scientist, model performance metrics, and recommendations for subsequent iterations. All reports shall be submitted in both English and Arabic to facilitate review by stakeholders in Sudan Khartoum.
7. Any modification, extension, or cancellation of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements regarding the scope of the Data Scientist's responsibilities shall not be enforceable.
8. In the event of force majeure, including but not limited to civil unrest, natural disasters, or government-imposed restrictions affecting operations in Sudan Khartoum, either party may suspend performance obligations without penalty, provided written notice is given within five (5) business days.
9. All intellectual property, models, code, and analytical outputs produced by the Data Scientist during the term of this Purchase Order shall be the exclusive property of the Buyer. The Seller and the Data Scientist shall execute a non-disclosure agreement prior to commencing work in Sudan Khartoum.
10. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to arbitration under the rules of the Sudan Arbitration Centre, seated in Sudan Khartoum.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Data Scientist services to be performed in Sudan Khartoum. This document is executed in two (2) original copies, one for each party.
