All services rendered under this Purchase Order shall be performed at the buyer's primary office facility in Turkey Istanbul, specifically at the Levent Business District address listed in Section 1. The Data Scientist is expected to be physically present on-site five (5) business days per week, Monday through Friday, between the hours of 09:00 and 18:00 local time (Turkey Time, UTC+3). Remote work arrangements, if any, must be pre-approved in writing by the buyer's project manager and shall not exceed two (2) days per week. The Data Scientist shall comply with all local labor regulations applicable in Turkey Istanbul, including but not limited to the Turkish Labor Law No. 4857 and the Personal Data Protection Law (KVKK) No. 6698.
Payment for this Purchase Order shall be made in monthly installments via bank transfer (EFT/Havale) to the supplier's designated account. Each monthly invoice, covering the Data Scientist services and associated costs for the preceding calendar month, shall be submitted by the 5th business day of the following month. Payment is due within thirty (30) calendar days from the date of invoice receipt. Late payments shall accrue interest at the statutory rate prescribed by the Turkish Commercial Code. The total contract value of this Purchase Order is TRY 3,645,600.00 (Three Million Six Hundred Forty-Five Thousand Six Hundred Turkish Lira), inclusive of 20% Value Added Tax (KDV).
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Turkey Istanbul.
- The Data Scientist engaged under this Purchase Order shall be bound by a strict Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement, ensuring that all models, algorithms, code, and analytical outputs developed during the engagement are the sole property of the buyer.
- The supplier warrants that the Data Scientist assigned to this Purchase Order possesses a minimum of five (5) years of professional experience in data science, machine learning, and statistical modeling, and holds at least a Master's degree in a relevant field (Computer Science, Statistics, Applied Mathematics, or equivalent).
- The buyer reserves the right to request a replacement Data Scientist within fourteen (14) days if the assigned professional fails to meet the agreed-upon performance KPIs or violates the terms of this Purchase Order.
- All personal data processed by the Data Scientist in the course of this engagement shall be handled in full compliance with KVKK (Law No. 6698) and applicable EU GDPR provisions, given the cross-border data flows relevant to operations in Turkey Istanbul.
- This Purchase Order may be terminated by either party with sixty (60) days' written notice. Upon termination, the supplier shall deliver all work-in-progress deliverables, source code, and documentation related to the Data Scientist's projects within ten (10) business days.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Turkey Istanbul, shall temporarily suspend performance obligations under this Purchase Order without penalty to either party.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Data Scientist professional services in Turkey Istanbul. This document constitutes a binding commercial agreement upon execution by authorized representatives of both parties.
