This Purchase Order is issued by East African Data Analytics Consortium Ltd. to formally engage the services of a qualified Data Scientist based in Uganda Kampala. The engagement is intended to support the Consortium's ongoing agricultural yield prediction programme, financial risk modelling initiative, and customer segmentation analytics project across the East African region. The Data Scientist shall deliver all professional services from the designated office location in Uganda Kampala, ensuring compliance with all applicable Ugandan labour, tax, and data protection regulations as governed by the Uganda Data Protection and Privacy Act, 2019.

5. Terms and Conditions

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda, specifically the Contracts Act, Cap 81, and the Uganda Data Protection and Privacy Act, 2019. All disputes shall be resolved through arbitration in Uganda Kampala under the rules of the Uganda Arbitration Centre.
Delivery & Performance: The Data Scientist shall commence all services no later than 1 July 2025 and shall perform all duties from the designated workspace in Uganda Kampala. All deliverables, including code repositories, model documentation, and analytical reports, shall be submitted to the Consortium's project management office in Kampala within the timelines specified in the attached Statement of Work.
Payment Schedule: Payment shall be made in three equal instalments: 40% upon commencement, 40% upon mid-project milestone review, and 20% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the account designated by the Data Scientist in accordance with Uganda Revenue Authority tax withholding requirements.
Intellectual Property: All models, algorithms, code, datasets, and analytical outputs created by the Data Scientist in the course of fulfilling this Purchase Order shall be the exclusive property of East African Data Analytics Consortium Ltd. The Data Scientist shall sign a separate Intellectual Property Assignment Agreement prior to commencement of work in Uganda Kampala.
Confidentiality & Data Protection: The Data Scientist shall adhere to strict confidentiality obligations regarding all proprietary data, client information, and business strategies of the Consortium. All personal data processed shall comply with the Uganda Data Protection and Privacy Act, 2019, and the Data Protection and Privacy Regulations, 2022. No data shall be transferred outside Uganda Kampala without prior written consent.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Data Scientist shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to the Consortium in Uganda Kampala.
Insurance & Liability: The Data Scientist shall maintain professional indemnity insurance with a minimum cover of UGX 50,000,000 throughout the duration of this engagement. The Data Scientist shall be solely liable for any damages arising from negligence, data breaches, or failure to meet the agreed service standards.
Compliance: The Data Scientist warrants that they hold all necessary professional qualifications, certifications, and permits required to practise as a Data Scientist in Uganda Kampala and shall comply with all applicable Ugandan employment, tax, and regulatory requirements.

6. Authorisation & Acceptance

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Data Scientist in Uganda Kampala. This document constitutes a binding procurement instrument under the Consortium's internal procurement policy and the applicable Ugandan commercial law.
