- Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order relating to the Data Scientist engagement shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- Place of Performance: The primary place of performance for all Data Scientist services under this Purchase Order shall be the Meridian Analytics Group office at 142 Corporation Street, Birmingham, B4 7AR, United Kingdom. Hybrid working arrangements may be permitted at the discretion of the project manager, provided that a minimum of three (3) days per week are worked on-site in United Kingdom Birmingham.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, in accordance with the United Kingdom Late Payment of Commercial Debts (Interest) Act 1998. All payments shall be made via BACS transfer to the supplier's designated bank account in the United Kingdom.
- Confidentiality and Data Protection: The Data Scientist(s) engaged under this Purchase Order shall comply fully with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All data processed in United Kingdom Birmingham shall be stored on servers located within the United Kingdom. A Non-Disclosure Agreement (NDA) shall be executed prior to commencement of services.
- Intellectual Property: All work product, models, algorithms, code, and analytical outputs created by the Data Scientist(s) in the course of performing services under this Purchase Order shall be the sole and exclusive property of Meridian Analytics Group Ltd. The Data Scientist(s) hereby assign all intellectual property rights to the company.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Data Scientist(s) shall return all company property, data, and documentation located in United Kingdom Birmingham or held remotely.
- Compliance: The supplier warrants that the Data Scientist(s) provided under this Purchase Order hold the requisite qualifications, professional certifications, and right to work in the United Kingdom. The supplier shall maintain all necessary professional indemnity insurance with a minimum cover of £5,000,000 throughout the term of this Purchase Order.
- Quality Assurance: The Data Scientist(s) shall adhere to the company's established data governance framework, code review processes, and model validation protocols. Quarterly performance reviews shall be conducted in United Kingdom Birmingham to assess deliverables against the agreed service level objectives.
- Health and Safety: The Data Scientist(s) working on-site in United Kingdom Birmingham shall comply with all applicable health and safety regulations, including the Health and Safety at Work etc. Act 1974, and the company's internal safety policies.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or pandemics affecting operations in United Kingdom Birmingham or the wider United Kingdom.
This Purchase Order constitutes a formal request for the procurement of Data Scientist professional services as described herein. By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this document.
