- Scope of Engagement: This Purchase Order authorises the procurement of Data Scientist professional services as itemised above. The Data Scientist shall perform all duties in accordance with the specifications outlined in the attached Statement of Work (SOW-2025-0487) and shall maintain professional standards consistent with the Chartered Institute of Data Scientists (CfDS) code of conduct.
- Place of Performance: All services under this Purchase Order shall be rendered primarily at the Purchasing Entity's offices located in United Kingdom London, 142 Fleet Street, EC4A 2BR. Remote work may be permitted for up to two (2) days per week, subject to prior written approval from the Buyer. The Data Scientist must remain within the United Kingdom for the duration of the contract to ensure compliance with local data residency requirements.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via BACS transfer to the Supplier's designated UK bank account within thirty (30) calendar days of receipt of a valid VAT invoice. All amounts are quoted in British Pounds Sterling (GBP). Late payment shall attract interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.
- Confidentiality and Data Protection: The Data Scientist shall handle all client data in strict accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. No data shall be transferred outside the United Kingdom without explicit written consent. A separate Data Processing Agreement (DPA) is incorporated into this Purchase Order by reference.
- Intellectual Property: All models, algorithms, code, documentation, and analytical outputs produced by the Data Scientist in the course of performing services under this Purchase Order shall be the sole and exclusive property of Meridian Analytics Group Ltd. The Data Scientist hereby assigns all intellectual property rights arising from the engagement to the Buyer.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Supplier shall deliver all work-in-progress and associated documentation to the Buyer within fourteen (14) days.
- Insurance: The Supplier shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 throughout the term of this Purchase Order. Certificates of insurance shall be provided upon request.
- Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved in accordance with the laws of England and Wales. The parties agree to submit to the exclusive jurisdiction of the courts of United Kingdom London. Mediation shall be attempted before any formal legal proceedings are initiated.
- Compliance: The Supplier warrants that the Data Scientist engaged under this Purchase Order holds valid right-to-work documentation for the United Kingdom and that all employment, tax, and National Insurance obligations are the sole responsibility of the Supplier. The Supplier shall comply with all applicable UK employment legislation, including the Working Time Regulations 1998 and the Equality Act 2010.
