The Data Scientist engaged under this Purchase Order shall be a senior-level professional with a minimum of seven (7) years of demonstrated experience in statistical modeling, natural language processing, deep learning architectures, and enterprise-scale data engineering. The Data Scientist must hold a Master's degree or Doctorate in a relevant field such as Computer Science, Applied Mathematics, Statistics, or a closely related discipline. All work product, deliverables, and on-site engagements associated with this Purchase Order shall take place at the Buyer's primary office facility located in United States Houston, or at such other location within the United States Houston metropolitan area as mutually agreed upon in writing by both parties.

- Payment Terms: Payment for all services rendered under this Purchase Order shall be made via wire transfer to the Supplier's designated bank account within thirty (30) days of receipt of a valid invoice. Invoices shall be submitted on a monthly basis for the retainer portion and upon milestone completion for project-based deliverables. All payments are denominated in United States Dollars (USD).
- Performance Location: All on-site work, meetings, training sessions, and collaborative engagements related to this Purchase Order shall be conducted in United States Houston, Texas. The Data Scientist shall be required to be physically present at the Buyer's Houston office for a minimum of three (3) days per week during the engagement period. Remote work from any location within the United States Houston metropolitan area is permissible for the remaining days, subject to the Buyer's prior written approval.
- Intellectual Property: All models, algorithms, code, documentation, data pipelines, and analytical outputs created by the Data Scientist in the course of fulfilling this Purchase Order shall be the sole and exclusive property of the Buyer. The Supplier and the Data Scientist hereby assign all rights, title, and interest in such work product to the Buyer upon creation.
- Confidentiality: The Data Scientist and the Supplier shall maintain strict confidentiality regarding all proprietary data, trade secrets, business strategies, and sensitive information encountered during the performance of this Purchase Order. This obligation shall survive the termination or expiration of this Purchase Order for a period of five (5) years.
- Compliance: The Supplier and the Data Scientist shall comply with all applicable federal, state, and local laws and regulations governing the performance of professional services in United States Houston, Texas, including but not limited to data privacy statutes, employment regulations, and tax obligations. The Data Scientist shall be engaged as an independent contractor and not as an employee of the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services satisfactorily rendered up to the effective date of termination. The Supplier shall deliver all completed and in-progress work product to the Buyer within ten (10) business days of termination.
- Warranties: The Supplier warrants that the Data Scientist engaged under this Purchase Order possesses the qualifications, skills, and experience necessary to perform the services described herein. All deliverables shall be free from material defects and shall conform to the specifications set forth in the Statement of Work attached as Exhibit A to this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes arising under this Purchase Order shall be resolved through binding arbitration in United States Houston, Texas, in accordance with the rules of the American Arbitration Association.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order. This Purchase Order constitutes the entire agreement between the Buyer and the Supplier with respect to the engagement of the Data Scientist for services to be performed in United States Houston, and supersedes all prior negotiations, representations, and agreements relating to the subject matter hereof.
