- Acceptance: This Purchase Order becomes binding upon written acceptance by the Seller. The Seller must confirm acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Performance Period: The Data Scientist engagement shall commence on July 1, 2025, and conclude on September 26, 2025, unless otherwise extended by mutual written agreement of both parties. All on-site work shall be performed at the Buyer's premises in United States Los Angeles, California.
- Payment Terms: Payment shall be made net thirty (30) days from the date of invoice submission. Invoices shall be submitted bi-weekly. The Buyer shall process all payments via ACH transfer to the Seller's designated bank account. Late payments shall accrue interest at a rate of 1.5% per month.
- Confidentiality: The Data Scientist and all personnel assigned under this Purchase Order shall execute a mutual Non-Disclosure Agreement (NDA) prior to commencing work. - Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered and expenses incurred up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of Los Angeles County, United States.
- Insurance: The Seller shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence for the duration of this Purchase Order, naming the Buyer as an additional insured party.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith mediation in United States Los Angeles. If mediation fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
