Terms and Conditions of Purchase
- Delivery Location: All goods shall be delivered to the dental practice premises located at 14, Rue Didouche Mourad, Hydra, 16000 Algiers, Algeria. The supplier is responsible for safe transport within the Algiers metropolitan area.
- Payment Terms: Payment shall be made within 30 (thirty) calendar days from the date of invoice receipt via bank transfer to the supplier's account at Bank of Algeria (BAI) or CNEP, Algiers branch. The Dentist (buyer) reserves the right to withhold payment for any items found defective upon inspection.
- Quality Assurance: All dental materials and equipment supplied must comply with the Algerian Ministry of Health regulations and the standards set by the Algerian National Agency for Food Safety (ANSAL). The supplier guarantees that all pharmaceutical items (anesthetics, irrigants) carry valid CE marking and Algerian import authorization.
- Warranty: Equipment items (high-speed handpieces, LED curing light) carry a minimum 24-month manufacturer warranty. Consumables and pharmaceutical items are non-returnable once opened. The Dentist shall notify the supplier of any manufacturing defects within 14 days of delivery.
- Regulatory Compliance: This Purchase Order is issued in accordance with Algerian commercial law (Code de Commerce) and the specific regulations governing dental practice operations in the Wilaya of Algiers. All imported goods must be accompanied by customs clearance documentation and sanitary certificates issued by the Algerian customs authority (Douane Algérienne).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures, port strikes in Algiers, or supply chain disruptions affecting the Algerian market.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria. Any disputes shall be resolved through the Commercial Court of Algiers (Tribunal de Commerce d'Alger).
- Validity: This Purchase Order is valid for acceptance within 10 (ten) business days from the date of issue. The supplier must confirm acceptance in writing via email or signed copy returned to the dental practice in Algiers.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, patient-related procurement volumes, and business terms. This Purchase Order is a confidential commercial document of the dental practice and shall not be disclosed to third parties without written consent.
