- Acceptance: This Purchase Order shall be deemed accepted by the supplier upon written confirmation (email or signed copy) within five (5) business days of the issue date. Failure to confirm within this period shall render this Purchase Order null and void.
- Delivery: All items shall be delivered to the Dentist's clinic address in Canada Montreal on or before the dates specified in the line-item table above. Delivery is FOB Destination, Canada Montreal. The supplier bears all risk of loss until goods are received and inspected by the Dentist or authorized representative.
- Payment Terms: Net 30 days from the date of invoice. Payment shall be made by electronic funds transfer (EFT) to the supplier's designated bank account in Canada. Late payments shall accrue interest at 1.5% per month as permitted under the Québec Civil Code.
- Inspection & Rejection: The Dentist reserves the right to inspect all delivered goods within ten (10) business days of receipt. Any item found defective, damaged, or non-conforming to the specifications in this Purchase Order shall be rejected and replaced at the supplier's sole expense.
- Warranty: All capital equipment (dental chairs, autoclave, X-ray sensors) carries a minimum two-year parts and labour warranty. Consumable items carry a 90-day defect warranty. Warranty service shall be provided at the clinic location in Canada Montreal at no additional cost to the Dentist.
- Regulatory Compliance: The supplier guarantees that all products comply with the Medical Devices Regulations (SOR/98-282) of Canada and the specific requirements of the Ordre des médecins-dentistes du Québec for use by a licensed Dentist in Canada Montreal.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather affecting the Canada Montreal region, supply chain disruptions, or government-mandated closures.
