Terms and Conditions of This Purchase Order
- Payment Terms: Net 30 days from date of invoice. Payment shall be made via electronic funds transfer (EFT) to the vendor account specified on the invoice. All amounts are denominated in Canadian Dollars (CAD) as per the regulations governing commercial transactions in Canada Toronto.
- Delivery: All items listed in this Purchase Order must be delivered to the Dentist practice address at 2847 Yonge Street, Suite 410, Toronto, Ontario, Canada, no later than July 15, 2025. Delivery must be made between the hours of 8:00 AM and 4:00 PM, Monday through Friday, to accommodate the Dentist office operating schedule.
- Quality and Compliance: All dental products and equipment supplied under this Purchase Order must comply with Health Canada regulations, the College of Dentists of Ontario (CDO) standards, and all applicable provincial health and safety codes in force in Canada Toronto. The Dentist practice reserves the right to reject any items that do not meet these regulatory requirements.
- Warranty: All capital equipment (Items 1, 3, and 5) shall carry a minimum manufacturer warranty of two (2) years from the date of delivery. Consumable supplies (Items 2, 4, 6, 7, 8, 9, and 10) must be within their full shelf life at the time of delivery, with a minimum of eighteen (18) months remaining.
- Right of Inspection: The Dentist practice, Chen Dental Care Associates, shall have the right to inspect all goods upon arrival at the Toronto facility. Any discrepancies, damage, or shortages must be reported to the vendor within five (5) business days of delivery. The vendor shall replace or credit defective items at no additional cost to the Dentist practice.
- Intellectual Property and Licensing: The vendor warrants that all products supplied do not infringe upon any intellectual property rights and are fully licensed for sale and use within the Province of Ontario, Canada Toronto, and the broader Canadian market.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Canada Toronto region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Ontario.
- Confidentiality: Both parties agree to maintain the confidentiality of all business information exchanged in connection with this Purchase Order, including pricing, patient-related operational details of the Dentist practice, and proprietary supply chain information.
