Scope of Purchase Order: This Purchase Order is issued by Beijing Capital Dental Care Center, a licensed dental practice operating in China Beijing, for the procurement of dental equipment, instruments, and consumable supplies. The supplier warrants that all items are new, unused, and free from defects. The Dentist's practice in China Beijing will conduct incoming quality inspection within five (5) business days of delivery. Any non-conforming items must be replaced or refunded within fourteen (14) days at the supplier's sole expense.

5. Warranty: The supplier provides a minimum two-year warranty on all capital dental equipment (X-ray systems, dental units, autoclaves, intraoral scanners) and a one-year warranty on handpieces, curing lights, and implant kits. Warranty service must be available within the Beijing, China metropolitan area with a maximum response time of 48 hours.

6. Intellectual Property and Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms contained in this Purchase Order. No information regarding the Dentist's patient data, clinical protocols, or practice operations shall be disclosed to third parties.

7. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from this agreement shall first be resolved through amicable negotiation. If unresolved within thirty days, the matter shall be submitted to the Beijing Arbitration Commission (BAC) for binding arbitration in Beijing, China.

8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulatory changes in China Beijing, or public health emergencies, provided that the affected party notifies the other within seven (7) days.
