- Scope: This Purchase Order covers the supply, delivery, installation, and initial calibration of all listed dental equipment and consumables for the Dentist practice operating at the Shanghai Jinghua Dental Clinic facility in Pudong New Area, China Shanghai.
- Delivery: The Seller shall deliver all items to the Buyer's premises in China Shanghai no later than July 5, 2025. Delivery shall be made DDP (Delivered Duty Paid) to the address specified above. All customs clearance, import duties, and local transport within Shanghai shall be the responsibility of the Seller.
- Quality & Certification: All medical devices and dental instruments must comply with the National Medical Products Administration (NMPA) regulations of the People's Republic of China. The Seller warrants that every item listed in this Purchase Order carries valid NMPA registration or filing numbers. The Dentist practice reserves the right to reject any item that does not meet the specified standards.
- Warranty: Capital equipment (Items 1, 2, 6, 7) carries a minimum 24-month manufacturer warranty from the date of acceptance. Consumable items (Items 3–5, 8–10) carry a 12-month shelf-life guarantee from the date of delivery. The Seller shall provide on-site repair or replacement within 72 hours of a warranty claim filed by the Dentist.
- Payment: Payment shall be made via bank transfer to the Seller's designated account in China Shanghai within thirty (30) calendar days of the Buyer's written acceptance of the delivered goods. A 10% advance payment of CNY 98,131.40 is due upon execution of this Purchase Order. The remaining balance is due upon final acceptance.
- Acceptance: The Buyer's designated Dentist or clinic manager shall inspect all delivered items within five (5) business days of arrival. Acceptance is confirmed by signing the Delivery Acceptance Certificate. Any discrepancies must be reported in writing within the same period.
- Installation & Training: The Seller shall provide on-site installation of all capital equipment and a minimum of four (4) hours of operational training for the Dentist staff at no additional cost. Training materials shall be provided in both Mandarin Chinese and English.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulatory changes in China, or public health emergencies affecting operations in Shanghai.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and the Law of the PRC on Contracts. Any disputes shall be submitted to the Shanghai International Arbitration Center (SHIAC) for resolution.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms of this Purchase Order and any proprietary information exchanged in connection with the Dentist practice's operations in China Shanghai.
